RECITIALS. A. The Company's Board of Directors has authorized and declared a dividend of one preferred share purchase right ("Right") for each Common Share (as such term is hereinafter defined) outstanding at the close of business on September 15, 2003 ("Record Date").
RECITIALS. A. The parties wish to explore the desirability of entering into one or more transactions involving certain loans and or mortgages in Xxxxx’x portfolio or certain properties that originally constituted collateral for one or more of such loans and or mortgages.

Pursuant to Paragraph 10.01(h) of the Agreement and the Access and Escrow Agreement to be executed at Closing, Seller is obligated to complete the Xxxxxxx TI Work and indemnify the Purchaser for any loss, cost or expenses that arises by reason of any default by Seller in Seller's performance of the Xxxxxxx TI Work. Purchaser requires and Seller is willing to confirm the Seller's indemnity obligations including the failure of BDF Northwest, Inc. ("Xxxxxxx") to commence payment of the rental obligations pursuant to its lease (the "Xxxxxxx Lease") of a portion of the Property due to delays by Seller in completion of the Xxxxxxx TI Work, on the terms and conditions hereinafter set forth.
RECITIALS. A. The Buyer, the Seller, China Mengniu, Danone Asia and certain other parties entered into a master equity transfer agreement dated [date] 2022 (the “ETA”) under which the Seller agreed to sell, and the Buyer agreed to buy, the entire equity interest in various joint venture entities.
RECITIALS. A. JOVIAN is engaged in the business of operating onshore oil and gas production facility ("Production Facility") in the State of Texas, ___________County.
RECITIALS. A. Pursuant to a Stock Purchase Agreement (the "Stock Purchase Agreement") dated September 28, 1999, between the Company and the Purchaser, the Purchaser has agreed to purchase seven hundred sixty-one thousand two hundred fifty (761,250) shares of Series A Convertible Preferred Stock, par value $.001, of the Company (the "Series A Shares")
RECITIALS. A. The Company has developed and is developing a line of products centered on its intellectual property for clean energy solutions (the “Opportunity”).
RECITIALS. 1.01 Declarant is the owner of real property known as Innsbrook, located in the County of Henrico, State of Virginia, the first phase of which is described in Exhibit “A” which is attached hereto and by this reference made a part hereof (the land described in Exhibit “A” being hereinafter sometimes referred to as the “Property”). As used herein “Innsbrook” shall be deemed to include the Property and all land to which reference is made in Section 2.03.
