Quotation Requirements. The Parent is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with the requirements for continued quotation of the Parent Shares on the “Pink – Current” tier of the trading market operated by OTC Markets Group, Inc. The issuance and sale of the Parent Shares under this Agreement do not contravene the rules and guidelines of the trading market on which the Parent Shares are currently quoted, and no approval of the stockholders of the Parent is required for the Parent to issue and deliver to the Shareholder the Parent Shares contemplated by this Agreement.

Quotation Requirements. Except as set forth in Schedule 3(y), the Company has not, in the 12 months preceding the date hereof, received notice from the national securities exchange or automated quotation system, if any, upon which the Common Stock is or has been listed or quoted to the effect that the Company is not in compliance with the listing or maintenance requirements of such national securities exchange or automated quotation system.
Quotation Requirements. The Parent is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with the requirements to maintain quotation on the Pink-Current tier of the electronic marketplace maintained by OTC Markets Group, Inc.
Quotation Requirements. The tenderer is requested to:
1) Quote prices for the services indicated in Tables 2 and 3 by filling-in the relevant column. The quote must be per each model(batch) to be tested.
2) Indicate how many models(batches) they can test at the same time, considering that the minimum testing capability required by this call for tenders is 25 models(batches). The tenderer must specify the concrete location of the lab where the tests are executed. For practical reasons, PROSAFE will only in exceptional cases engage with laboratories where the testing is going to take place outside the EU/EEA countries. The tenderer must describe his qualifications and experience in line with the requirements mentioned in Articles 2 and 3.

The US Parent has not, in the 12 months preceding the Closing Date, received notice from the national securities exchange or automated quotation system, if any, upon which the US Parent’s common stock is or has been listed or quoted to the effect that the US Parent is not in compliance with the listing or maintenance requirements of such national securities exchange or automated quotation system.
Quotation Requirements. The Company shall continue to cause its ---------------------- Common Stock to be quoted on the OTCBB, the Nasdaq Stock Market or a national securities exchange (any of the foregoing "Principal Market"), and shall comply ---------------- in all respects with the filing and other obligations under the rules applicable to the then Principal Market and shall not permit the suspension of quotation of Common Stock on a Principal Market and if such quotation is suspended, the Company will use its reasonable best efforts to requalify its Common Stock or otherwise cause such quotation to resume. The Company shall promptly provide to the Purchaser copies of any notices it receives from the Principal Market or the SEC regarding the continued eligibility of the Common Stock for quotation on the Principal Market. The Company shall pay all fees and expenses in connection with satisfying its obligations under this Section 4.9.

Quotation Requirements. A best offer price quotation must include the costs for the items including any necessary components to meet the specifications in Section 4 and as detailed in Annex C. VAT is not to be included in the price quotation. All Offerors must submit the price quotation in US Dollars. All Offerors must provide a price guarantee that the quotation price remains valid for 120 calendar days.
