Quality Maintenance. Licensee agrees that the overall quality of the Licensee Products and all related advertising, promotional and other related uses of the PS Compatibility Trademarks shall be consistent with industry standards. Licensee agrees to cooperate with PalmSource in facilitating PalmSource’s quality control. PalmSource shall have the right to receive free samples of all advertising and promotional materials and up to ten (10) royalty free sample production units of each Licensee Product and related Licensee documentation on which such trademarks are used to ensure that the quality associated with the PS Compatibility Trademarks is maintained. Licensee shall comply with all requests from PalmSource to correct any deficiencies with the foregoing requirements in accordance with the provisions and procedures of Section 9.6 of the Licensee Trademark License Agreement.
Quality Maintenance. Party A and Party B shall strictly observe Technical Standard or Technology Agreement that the two parties signed (generally in the form of product specification), amendment to the Technical Standard that Party A is entitled to make based on the circumstances shall not affect the effectiveness of this Agreement; if problems or accidents due to poor quality occur resulting from Party B breaching this Agreement, Party B shall take full responsibility and compensate for losses of Party A with reference to relevant terms of this part.
Quality Maintenance. Licensee agrees that the overall quality of the Licensee Products and all related advertising, promotional and other related uses of the Palm Trademarks shall conform to or exceed industry standards. Licensee agrees to cooperate with Palm in facilitating Palm’s quality control. Palm shall have the right to receive free samples of all advertising and promotional materials and reasonable numbers of sample production [*] of the Licensee Products and related Licensee documentation on which such trademarks are used to ensure that Palm’s quality standards are maintained. Licensee will provide Palm with drafts of all significant revisions to such materials (including press releases) using the Palm Trademarks before making such materials publicly available. Licensee shall comply with all requests from Palm to correct any quality deficiencies in such materials and its website.
Quality Maintenance. Each Entity agrees to cooperate with the Bank in facilitating the Bank's verification of such nature and quality, to permit reasonable inspection of its operation, and to supply the Bank with specimens of all uses of the Marks upon request. Each Entity shall comply with all applicable laws and regulations and obtain all appropriate government approvals pertaining to the sale, distribution, export, import and advertising of goods and services covered by this Agreement.
Quality Maintenance. Licensee agrees to cooperate with Licensor in facilitation Licensor's control of such nature and quality, to permit reasonable inspection of Licensee's operation, and to supply Licensor with specimens of all uses of the Xxxx upon request.
Quality Maintenance. LICENSEE shall maintain the same quality in the Licensed Products, Promotional Products, packaging relating thereto and any other materials bearing any of the Licensed Works and Marks produced, as in the production samples approved by LICENSOR. In addition, LICENSEE must deliver to LICENSOR, at LICENSEE’s sole cost, a reasonable number of supplementary samples, which may be reasonably requested by LICENSOR from time to time during the Term, it being understood that these samples may not be sold or marketed by LICENSOR. All samples furnished to LICENSOR shall not be subject to the payment of Royalties pursuant to Article 9.1.1.
Quality Maintenance. Licensee shall maintain the same quality in the Licensed Products and promotional and packaging material relating to the Licensed Products produced as in the Sample Submittals approved by Licensor. Upon commencement of manufacture and distribution of the Licensed Products and/or promotional and packaging material relating to said Licensed Products after all required approvals have been given by Licensor, Licensee shall submit, at its own cost, six (6) sets of the production samples of the Licensed Products and/or promotional and packaging material to Licensor. Licensor may require that Licensee submit to Licensor, at Licensee's cost, up to twelve (12) additional sets of production samples of the Licensed Products and/or promotional and packaging material.
Quality Maintenance. The nature and overall quality of any materials supplied by PalmSource bearing the Licensee Marks shall be consistent with industry standards, and shall in no event be lower than a reasonable standard of quality. Licensee shall have the right to receive free samples of any such materials. PalmSource agrees to cooperate with Licensee in facilitating Licensee’s quality control and shall comply with all requests from Licensee to correct any deficiencies with the foregoing requirements. Quality Maintenance. Licensee agrees to supply Licensor with specimens of any and all uses of the Community Logo upon request. If the specimens are not in compliance with the Community Brand Guidelines and/or with the terms of this Agreement, Licensor shall provide written notification to the Licensee, and the Licensee shall modify the goods in accordance with the Community Brand Guidelines and the terms of this Agreement. If Licensee has not taken appropriate steps to comply within thirty (30) days after the notification by Licensor, Licensor shall have the right to terminate this Agreement.
Quality Maintenance. Licensee shall maintain quality levels of the media delivery or display related equipment (and any other materials) bearing any of the GDC Marks at a quality level at least as stringent as the quality standards at each of the media delivery or display related equipment manufacturing plants existing at the time of the Sale and Purchase Agreement. Without limiting the foregoing, such media delivery or display related equipment shall always be manufactured, promoted, and sold in a manner that reflects favorably on the GDC Marks and does not tarnish them or the reputation of Licensor.
