Purchaser Consents. Purchaser Consents. The execution, delivery and performance of the Agreement will or may require the following consents, approvals and reviews:
Purchaser Consents. The execution and delivery by the Purchaser of this Agreement and each of the other Investment Documents to which it is a party, and the consummation by the Purchaser of the transactions contemplated hereby, do not and will not require the Consent of any Governmental Authority or any other Person, other than the California Permit and Consents that have already been obtained or made.
Purchaser Consents. Assuming the accuracy of the representations and warranties of Seller herein and in the Assignment Agreement, each consent of any Person (other than Lessee) required to be obtained by Purchaser to authorize, or required by Purchaser in connection with the execution, delivery or performance by Purchaser of the Purchase Documents to which it is a party has been obtained and is in full force and effect (or will be obtained and be in full force and effect prior to the Delivery Time), and there is no default by Purchaser in the observance or performance of any of the conditions and restrictions (if any) imposed on or in connection with such consent.
Purchaser Consents. Each Investor agrees not to knowingly, and shall not knowingly permit any of its respective affiliates to, take any action that would reasonably be expected to prevent, materially delay or materially impair receipt of any approval, consent, notice or filing with a Governmental Entity required in connection with transactions contemplated by the Merger Agreement (“Purchaser Approvals”); provided that this Section 2.13 (i) shall not prohibit an Investor from voting equity securities in Purchaser in a manner it deems appropriate and (ii) shall not be deemed to prohibit any Affiliate of the ML Investor from engaging in trading, asset management or other applicable financial services activities in the ordinary course of its business.
Purchaser Consents. If necessary, the consent of the Federal Trade Commission and/or the Department of Justice under the HSR Act SCHEDULE 4.2 Company Consents
Purchaser Consents. The Purchaser shall have received all consents and approvals of Governmental Entities and third parties listed on Schedule 6.4.
Purchaser Consents. The Purchaser and Just Energy shall have obtained all consents and approvals required to be listed in Section 6.6 of the Purchaser Disclosure Letter. With respect to each such consent or approval, the Seller shall have received written evidence satisfactory to the Seller that such consent or approval has been duly and lawfully filed, given, obtained or taken and is effective, valid and subsisting.
Purchaser Consents. The Purchaser shall have obtained all consents and approvals listed in Section 6.5 of the Purchaser Disclosure Letter.
