Simultaneously with its execution of this Agreement, Xxxxxx has executed a document evidencing its intention to be bound by the terms of each Operating Agreement substantially in the form of Exhibit E. In the event of a conflict between the provisions of this letter agreement and the provisions of either Operating Agreement, the provisions of this letter agreement shall prevail.
