PSC. (a) Purchaser shall have primary responsibility for the preparation and filing of the regulatory filing to be made to the PSC requesting the PSC Approval (“PSC Regulatory Filing”). Upon the request of Purchaser, Seller shall use its commercially reasonable efforts to cooperate with Purchaser to prepare and file the PSC Regulatory Filing.
PSC. 2. Within three (3) months of the Effective Date, the Recipient shall set up the PSC at central level. The PSC shall be chaired by the state secretary of MRTT and shall comprise representatives from the Recipient’s Customs General Administration, Ministry of Foreign Affairs, Ministry of Health, MOF, MRTT, Ministry of Nature and Environment, Ministry of Social Welfare and Labor, and government of Hovd aimag. The PSC shall meet at least once in every six (6) months and review the progress of implementation and provide guidance, as necessary. ADB representative may attend the PSC meetings as an observer. PSC. The parties hereto recognize and acknowledge that the name “Powerchip” and the letters, “PSC” and other trademarks or designations, and their equivalents in the Chinese language, is and shall at all times belong exclusively to the PSC Representative. So as not to give rise to a likelihood of confusion from the concurrent use thereof in connection with the sale of any products or the rendering of any services, PSC Representative shall have the right at any time, to require the parties hereto to cause the Company and/or the Operating Company to discontinue use of any reference to “Powership” or “PSC”, as appropriate, and other trademarks or designations or any name using the words “PSC” or “Powerchip”, as appropriate, or other confusingly similar trademark or designations and the Chinese language equivalents of any thereof.
PSC. PSC is a Missouri corporation, having its principal place of business in Nixa, Missouri.
PSC. Namaste and the PSC may discuss topics including academic freedom, culturally relevant curriculum, wraparound services, staffing and work day. Nothing herein however constitutes a waiver of Namaste's rights under the School Rights provision (Article II) to make determinations with respect to scheduling, staffing and curriculum design and methodologies.
PSC. 3. The Beneficiary shall establish in Kabul PSC, co-chaired by the Minister or Deputy Minister of MEW and MOF, and comprised of representatives of MFA, MAAHF, MMI, MRRD and other relevant ministries at deputy-minister or equivalent level. PSC shall meet at least once a year or more frequently at the request of the Chair to provide policy guidance and review Project performance.
PSC. (i) has the full right and authority to grant the rights and licenses under this Agreement, and (ii) has the right and authority to use all Licensed Materials and all Licensed Know-How, subject to the disclosed license agreement between VetStem Biopharma and PSC and the license agreement between PSC and Calidi Biotherapeutics.
