Prop. The Trust, the Company and each of the Restricted Subsidiaries that has provided a Subordination Agreement as a subordinated creditor under the Bank Facility, and the Company and each of the Restricted Subsidiaries that has provided a Subordination Agreement as a debtor under the Bank Facility, shall have executed and delivered to such Purchaser the Subordination Agreement as “Subordinated Creditor” and as “Debtor”, respectively, thereunder. As of the date hereof, the Restricted Subsidiaries that have provided Subordination Agreements under the Bank Facility are Trocana, the Partnership, PVT, PET, CCT, Canetic LP, CST and PROP.

Prop. The Borrower will, and will cause each other Loan Party to, on a timely basis, furnish to the Agent copies of all material notices received pursuant to the PROP Partnership Agreement.

Prop. 39 and the attendant regulations adopted by the State Board of Education require a separate written agreement regarding the allocating of facilities under Prop. 39. This Agreement satisfies those requirements.
