Project Delays. Consultant will make all reasonable efforts to comply with the Project Schedule as stated in the Attachment Two to the Schedule(s), Schedule of Completion. In the event the Project Schedule will be delayed, Consultant will notify Valley Water Project Manager as soon as possible, providing the reason why, the length of the delay, and a description of the actions being taken to address the delay. In the event Consultant is delayed in performance of its services by circumstances beyond its control, Valley Water may, at its discretion, grant a reasonable adjustment in the Project Schedule.

Project Delays. If the Engineer is required to perform additional Engineering Services due to delays by the imposition of causes not within the Engineer’s control, such as by the re-advertisement of bids or by the delinquency or insolvency of contractors, such services associated with these delays shall be considered additional services, and the Engineer shall be compensated by the Owner for such extra services and expense in accordance with Article 8 hereof. Owner and Engineer shall execute a Supplemental Agreement setting forth such terms.

If Sponsor does not wish to retain certain Worldwide Study personnel for the duration of the delay or on hold period, Worldwide shall have the right to reallocate any and all such staff after [***] day period. If the delay or on-hold period continues for [***] either Party may, by provision of written notice, terminate this Agreement without penalty.

Said personnel fees shall be invoiced by Worldwide on a monthly basis and shall be due and payable by Sponsor within forty-five (45) days of Sponsor’s receipt of Worldwide’s invoice. If Sponsor does not wish to retain certain Worldwide Study personnel for the duration of the delay or on hold period, Worldwide shall have the right to reallocate any and all such staff after such thirty (30) calendar day period. If the delay or on-hold period continues for ninety (90) days either Party may, by provision of written notice, terminate this Agreement without penalty.
