Product Services. This Partnership Agreement is made and entered into by and between Hubject and the Partner for the purposes Hubject providing the following products and services: Hubject Intercharge (“Platform”) Hubject operates a software-based business-to-business, e-mobility service platform (“Platform”) through which it connects operators of electric vehicle charging stations, the charge port operators (“CPO”), and providers of e-mobility services (E-Mobility Provider, “EMP”). The Platform allows charge port operators to make the charging stations they operate available to EMP customers who use electric vehicles (“EV Drivers”) and to certain other users of electric vehicles who charge their vehicles on an ad-hoc basis (“Ad- Hoc Users”) without having any contractual relationship with any EMP (“Ad-Hoc Charging Services”). For these purposes, all charge port operators using the Platform will endeavor to cooperate with all EMPs who have entered into an Order Form or Partnership Agreement with Hubject under a multi-party contract (“eRoaming Agreement”) as well as any other agreements between the Parties relating to this engagement (“Appendices”). Hubject Plug&Charge (“Ecosystem”) Hubject operates the necessary certificate pools and services according to ISO 15118 and VDE-AR-E 0000-000-0 standards. This system is called Plug&Charge Ecosystem (“Ecosystem”). Furthermore, Hubject provides the option to take over the certificate management for the the relevant market roles charge point operators ("CPO”), providers of e-mobility services (E-Mobility Provider, “EMP”) as well as automotive original equipment manufacturers (“OEM”) and operates the necessary V2G PKI.
Product Services. Seller will provide articles, services and/or data as set forth in Schedule A. In accordance with the attached Rational for Xxxx X0, ISC shall, on a firm fixed price level of effort and with Loral's assistance, develop and qualify a process for Under Ball Metallurgy and Solder Ball Attach (UBM apply) to be used for bumped cube products as specified in Loral Specification drawing number 198A455. ISC shall notify Loral two (2) weeks prior to UBM apply (per ISC nomenclature, the V2 step). If ISC and Loral mutually agree that the UBM apply process is ready, ISC shall proceed with the UBM apply. If ISC and Loral mutually agree that the UBM apply process is not ready, Loral will accept the cubes at the V2 level and direct ISC to hold the V2 level cubes (i.e. those cubes which will be fabricated prior to UMB apply) to be shipped in place at ISC's facilities in Burlington, VT. After joint acceptance of qualification of the UBM apply process, the bumped product will be delivered per Loral Specification drawing number 198A445.

(a) As part of the Services, during the term ---------------- of this Agreement CDC shall provide the following Services (as more particularly referred to herein as the "Product Services") to SJ Japan, in each case provided that the provision of such Product Services is legal under all applicable laws and regulations: (i) at SJ Japan's request, import Products for SJ Japan's account and generally prepare the necessary statutory documents required for the importation and storage of the Products; (ii) use reasonable efforts to maintain the facilities and qualified personnel needed to ensure the performance of the Product Services in full compliance with applicable laws and regulations, (iii) at SJ Japan's request, use reasonable efforts to secure additional sales accounts and in-store concessions for the Products for SJ Japan's account; (iv) at SJ Japan's request, ship the Products to customers in accordance with SJ Japan's instructions; (v) assist SJ Japan to obtain any licenses, permits or approvals necessary for SJ Japan to import, sell or distribute Products; and (vi) provide any other similar services as SJ Japan may reasonably request.

Provided no Event or Event of Default has occurred and is continuing hereunder, Lessor agrees to assign to Lessee the right to training, support services, data and documents available in respect of the Aircraft under the Purchase Agreement listed in Exhibit “B”. Lessor shall not have any liability or responsibility for the adequacy of such training, support services or technical data and documents or for Manufacturer’s performance or nonperformance in respect thereof, all of which is, as to Lessor, without recourse, representation or warranty, express or implied. Lessee hereby agrees, to the extent that it has been provided with the applicable provisions of the Purchase Agreement, to assume the insurance and indemnity obligations imposed on the “Buyer” under the Purchase Agreement and to be bound by the exclusion of liabilities provisions of the Purchase Agreement in relation to such training, support services and technical data and documents to the same extent as if Lessee had been the original “Buyer” of the Aircraft under the Purchase Agreement.
