Private Labeling. Upon DISTRIBUTOR's request, iSecureTrac agrees to private label the Products and/or related Product documentation (including, but not limited to, Activation Documentation) with DISTRIBUTOR's trademarks and trade names (collectively, "DISTRIBUTOR Trademarks"), all at no additional charge to DISTRIBUTOR (collectively, "Private Labeling"). All use of DISTRIBUTOR Trademarks by iSecureTrac in connection with any Private Labeling hereunder shall be subject to a limited, personal, non-exclusive, non-transferable, non-assignable license or sublicense (in each case, without right of sublicense) granted by DISTRIBUTOR to iSecureTrac to use the DISTRIBUTOR Trademarks during the Term solely and exclusively for iSecureTrac's performance of Private Labeling as described herein and for such other purposes as DISTRIBUTOR may expressly authorize in advance in writing (the "Limited Trademark License"). All Private Labeling shall be submitted to DISTRIBUTOR for review in advance, and no DISTRIBUTOR Trademark shall be utilized in any Private Labeling without DISTRIBUTOR's specific prior written consent to such use. Each item of documentation or other tangible material (with each copy thereof constituting a separate item) on which any DISTRIBUTOR Trademark appears shall contain a prominent legend stating that the DISTRIBUTOR Trademarks are registered trademarks of DISTRIBUTOR or DISTRIBUTOR's affiliates. The registered symbol "(R)" appearing each time as part of the DISTRIBUTOR Trademark will constitute a sufficient legend. iSecureTrac acknowledges that DISTRIBUTOR is, and shall at all times remain, the sole and exclusive owner of the DISTRIBUTOR Trademarks and all goodwill contained therein, and that neither the Limited Trademark License, nor any Private Labeling, shall convey any right, title, or interest in or to any of the DISTRIBUTOR Trademarks or such goodwill to iSecureTrac. All goodwill arising from iSecureTrac's use of the DISTRIBUTOR Trademarks shall inure solely to the benefit of DISTRIBUTOR, and iSecureTrac shall not assert any claim to any right, title, or interest in or to the DISTRIBUTOR Trademarks or the goodwill associated therewith, nor shall iSecureTrac at any time take any action that could be detrimental to the goodwill associated with any DISTRIBUTOR Trademark, either during the Term or after any Agreement Termination. DISTRIBUTOR may revoke the Limited Trademark License as to any Product or related documentation not then in production upon written notice...
Private Labeling. This section 5 applies when a product earning certification under these Service is manufactured by the Client for marketing under the name of another company (“Private Label Client”). Subject to this Section 5 and the other terms and conditions of these Service Terms, the Private Label Client will be issued a certificate in its name based on the certificate issued to the Client under Section 4(b). This Private Label Client is assigned a File and is included in UL Contracting Party’s Online Certification Directory and published records with no visible link to the Client.
Private Labeling. If requested in writing by AGCS, Paradyne shall include a particular customer's trademark on the MVP Endpoints and associated documentation (in a manner to be agreed upon by the parties), solely for sales of the Derived Telephony Product to a Network Service Provider of more than 100,000 units per year. In consideration of the foregoing, AGCS shall pay to Paradyne, within thirty days of the date of invoice from Paradyne, an additional fee of [***] dollars [***] per MVP Endpoint. If the customers require private labeling to include packaging, the parties agree to negotiate a mutually agreed upon fee.
Private Labeling. Dynamac agrees to private label its proprietary RF/Microwave calibrated test probes, test platforms, and related accessories for Microphase. Microphase shall have the right to market private labeled calibrated test probes, test platforms, and related accessories under Microphase brand to North American and European customers as well as to end users in other parts of the world. If private labeled products are offered in China, South Korea, and Taiwan Dynamac agrees to file for patent protection in these countries. Microphase agrees to share the cost for filings. Dynamac agrees to private label its proprietary RF/Microwave test probes, test platforms, and related accessories listed in Appendix (A) for Microphase.
Private Labeling. If HP decides during the Term to create HP private ---------------- label versions of the OEM Products, Foundry will ensure that the OEM Products contain the HP Marks, serial number format and packaging specified by HP and conforming to HP specifications for external appearance (which will not require any material change in form or dimensions of the OEM Products or require commercially unreasonable actions). Except as provided herein, Foundry will have no other right or license in any HP Marks.
Private Labeling. If Purchaser repackages Products received from Adaptec, Purchaser agrees to repackage in packaging using Purchaser's marks. Purchaser further agrees to use commercially reasonable efforts to cease all use of the Adaptec Marks as soon as feasible.
Private Labeling. Subject to Section 13, Licensee may use the Software in accordance with this Agreement using Licensee's own trademarks and other identifying marks ; provided, however, such use shall in no way (a) effect a reduction in any Royalty paid by Licensee to Licensor under the terms of this Agreement or (b) require any increase in the level of Maintenance Support or Development Support provided by Licensor without appropriate Support Cost compensation defined in writing under the terms of this Agreement.
Private Labeling. Botlink agrees to private label all customer touch points with the AgEagle and Botlink logo to include but not limited to web sites which hosts processed maps and billing statements. Botlink will xxxx the customers through an AgEagle labeled website.
Private Labeling. All Products delivered by Supplier will bear the logos, trade names and trademarks of NETGEAR as specified by NETGEAR. NETGEAR will provide engineering drawings, camera-ready artwork film, and all other materials and instructions necessary to manufacture product labels and shipping boxes without supplemental documentation. No Supplier logos, trademarks and trade names will be externally visible on installed Products. NETGEAR agrees not to affix any labels containing Supplier logos, trademarks or trade names to the Products. Preprinted boxes with NETGEAR logos will be provided by Supplier and used for packaging the Products. These individual product boxes must be placed within larger protective shipping boxes for transit from Supplier to NETGEAR.
Private Labeling. At Customer’s request and at no additional cost to Customer, the goods will be packaged by Supplier using the name(s), addresses and/or artwork provided by Customer, as may be modified from time to time by Customer (“Private Label”). Supplier’s name, address or part number shall not appear on any labeling or packaging except to the extent required by law, as otherwise agreed in writing by the parties, or as set forth in section nine (9) below. Customer will provide the proposed labeling to Supplier for review and approval. Supplier may not use the Private Label except as specifically provided in this order and only for goods sold to Customer.
