Prior Payments. Any provision herein to the contrary notwithstanding, the Company shall not be obligated pursuant to the terms of this Agreement to indemnify or advance Expenses to Indemnitee under this Agreement for which payment has actually been made to or on behalf of Indemnitee under any insurance policy or other indemnity provision, expect with respect to any excess beyond the amount paid under any insurance policy or indemnity policy.
Prior Payments. The parties hereby acknowledge prior payment of $32,500 to the Agent as a deposit against its due diligence costs, which amount was paid upon execution of the Proposal. Upon the request of the Company, the Agent will provide a written accounting of this deposit to the Company. Any remaining funds from this deposit will be applied against the Agent’s expenses related to marketing and administering the Notes. To the extent that this Agreement is terminated, the Agent will promptly refund the excess of any unused portion of such funds over amounts otherwise owed hereunder.
Prior Payments. Notwithstanding any provision herein to the contrary, the Company shall not be obligated pursuant to the terms of this Agreement to indemnify or advance Expenses to Indemnitee under this Agreement for which payment has actually been made to or on behalf of Indemnitee under any insurance policy or other indemnity provision, expect with respect to any excess beyond the amount paid under any insurance policy or indemnity policy; provided, however, that payment made to Indemnitee pursuant to an insurance policy purchased and maintained by Indemnitee at his or her own expense of any amounts otherwise indemnifiable or obligated to be made pursuant to this Agreement shall not reduce the Company’s obligations to Indemnitee pursuant to this Agreement.
Prior Payments. For the avoidance of doubt, neither Company shall have any obligation under this Article II to reimburse the other Company for payments made by the other Company prior to the Distribution Date in respect of Taxes for which the first Company is allocated the responsibility under this Agreement (whether such payments are made to a Tax Authority, or to the first Company, or to any other Person).
Prior Payments. Penske and DDC hereby agree that Penske will, within 90 days from the date of this Agreement, invoice DDC for all amounts owing by DDC to Penske, or chargeable by Penske to DDC, in payment for any services rendered to the DDC Group by Penske prior to the Effective Time. In addition, DDC will sublease to Penske and its affiliates office space comparable to the office space utilized by Penske and its affiliates prior to the date hereof on terms and conditions comparable to the terms and conditions as of the date hereof and which are arm's-length.
Prior Payments. Payments made before receiving care will be credited against your account. After applying prior payments to your account, you will pay any remaining balance in accordance with this agreement.

However, all such payments made to Consultant under the Prior Agreement shall be included in determining the point at which the Ceiling has been or is reached.
