Possession Tendered - Defined. Possession of the Premises shall be deemed tendered to Lessee ("Tender of Possession") when (1) the improvements to be provided by Lessor under this Lease are substantially completed, (2) the Building utilities are ready for use in the Premises, (3) Lessee has reasonable access to the Premises, and (4) ten (10) days shall have expired following advance written notice to Lessee of the occurrence of the matters described in (1), (2) and (3), above of this paragraph 3.2.1.

Upon Tender of Possession, Lessee shall construct the Tenant Improvements called for by the work letter being entered into by and between Lessor and Lessee, a copy of which is attached hereto as Exhibit C (the "Work Letter").

Possession Tendered - Defined. Provided that Tenant shall not have cancelled this Lease as provided in paragraph 3.2, possession of the Premises shall be deemed tendered to Tenant (“Tender of Possession”) when (i) the improvements to be provided by Landlord under this Lease and the Work Letter are substantially completed in accordance with the Work Letter, except for only minor punch list items, (ii) the Building utilities are ready for use in the Premises, (iii) Tenant has reasonable access to the Premises, and (iv) if required, a Certificate of Occupancy (or its legal equivalent) has been issued by the City of San Diego. Notwithstanding the foregoing, if Tenant is leasing the Premises in its “as-is” condition, then the Tender of Possession shall be deemed to occur on the Target Commencement Date.
