Periodic Updates. During the first week of every month (or more frequently at the request of Requisite Lenders, but not more frequently than once each week), at regularly scheduled times reasonably acceptable to Requisite Lenders (but in any event on at least two (2) Business Days’ notice from the Borrower), the Borrower shall hold an update call with the Chief Restructuring Officer, the chief financial officer of the Borrower and such other members of senior management of the Borrower as the Borrower deems appropriate and the Lenders and their respective representatives, advisors and independent contractors to discuss the state of the business of the Borrower and its Subsidiaries, including but not limited to recent performance, cash and liquidity management, operational and restructuring activities, current business and market conditions and material performance changes.
Periodic Updates. The Employer agrees to promptly notify the Vendor if any of the Employer Information changes in such a way as to affect the Vendor’s records or any transaction being processed by the Vendor.

The pharmacovigilance and labeling representatives of each Party will work in good faith together to develop a document that identifies: (i) which safety information, if any, will be exchanged; (ii) when such information will be exchanged; (iii) which Party will have regulatory reporting responsibilities; (iv) which Party will manage the global safety data base; (v) which Party will be obligated to obtain follow-up information on incomplete safety reports; (vi) which Party will review the literature for safety report information; (vii) roles and responsibilities of the Parties related to review and approval of safety information for inclusion in the Product label in the Territory; (viii) which Party will prepare required periodic safety updates; and (ix) the identification of any other details required to appropriately manage safety information for the Product.
Periodic Updates. On a calendar quarterly basis, each Party will provide to the other Party written copies of all Project Innovations known to the first Party not previously disclosed to the other Party. Onyx will reimburse XOMA for the costs of XOMA representatives for such technology transfer work pursuant to Section 6.4(a). Onyx shall be entitled to maintain and use such documents within the scope of its license in Section 7.3(c) for itself, its Affiliates, or Third Parties.
Periodic Updates. No less frequently than once each CALENDAR QUARTER, AVENTIS shall update the ALLIANCE MANAGEMENT COMMITTEE on AVENTIS' efforts to commercialize PRODUCT in the ROW. Without limiting the foregoing, AVENTIS shall provide the ALLIANCE MANAGEMENT COMMITTEE with such written reports as its senior management committees receive regarding such commercialization efforts.

From time to time, as the Company and/or the Administrator may request, the Participant shall report as to the progress he or she is making towards satisfaction of the Performance Criteria set forth on Appendix I hereto (including, without limitation, an estimation of Participant’s then-current belief as to whether the Performance Criteria will be satisfied by the conclusion of the Performance Period).

So long as this Agreement is in effect, E&S shall provide Licensee with the source code for the general release of the reference source software for the Licensed Product corresponding to the version of the chipset embodying the REALimageTM Technology which is then being purchased by Licensee, provided that: (a) Licensee is then purchasing such chipset in quantities of 800 units per month, based on a rolling three-month average, (b) Licensee's last order was placed no later than 60 days previously, and (c) no event of default on the part of Licensee has occurred and is then continuing under this Agreement. Such software will be provided to Licensee when generally released if the conditions to release stated in the preceding sentence are then satisfied, or when such conditions are satisfied, if later than the time of general release.
Periodic Updates. The Zoo and Society staff will provide periodic updates to the Commission, County Executive and appropriate staff regarding the Strategic Plan, conservation initiatives, and other matters.
Periodic Updates. 3.6.1. Operator shall meet in-person or virtually with the Board no less than once per Calendar Quarter (or more or less frequently as Owner may reasonably request), during the Term to review Operator’s Operation of the Renewable Fuels Facility, the provision of Services, and performance of Operator’s obligations hereunder, including a review of the Operator Reporting Requirements listed on Exhibit C, in each case, in accordance with this Agreement.
3.6.2. Operator shall meet either in-person or virtually with representatives of the 5% Members, which shall include up to three (3) representatives from each such 5% Member, on a bi-weekly basis for commercial planning and optimization meetings as detailed in Exhibit C.
3.6.3. Operator shall prepare and distribute (i) financial information at least on a monthly basis setting out the financial performance and status of the Renewable Fuels Facility, and shall otherwise deliver to the Owner (and each 5% Member) financial information and records in such forms and at such times as reasonably required by Owner, and (ii) those items set forth on Exhibit C.
3.6.4. Notwithstanding any of the foregoing, Owner may reasonably request any other meetings with the Operator, and upon prior notice to Operator, Owner may participate in regular and ad-hoc meetings held with licensors, vendors, and off-takers; provided that such participation is reasonable and does not hinder or interfere with the Operations of the Operator.
