Performance and Schedule. 5.1 The Company shall use commercially-reasonable efforts to attempt to have Work performed by its direct employees performed during normal working hours. The foregoing notwithstanding, if Work is performed outside of normal working hours, Customer shall be responsible for paying all actual costs incurred in connection therewith, including, without limitation, applicable overtime costs.

Performance and Schedule. The Company shall use Good Utility Practices in performance of the Work. The Company shall attempt to reasonably limit Work performed by its direct employees to normal working hours. Extended hours shall be subject to additional compensation to the Company for the costs thereof, which shall be reflected in the Actual Costs, with CHURCHVILLE’s approval, which approval shall not be unreasonably withheld, conditioned, or delayed.

Neither Party shall be liable for failure to meet the Projected Milestone Schedule, any milestone, or any other projected or preliminary schedule in connection with this Agreement, the Work or the Project.

Performance and Schedule. Consultant shall perform the Services and provide the Deliverables in accordance with the specifications and requirements included in the applicable Statement of Work, including, without limitation, all scheduled completion and milestone dates or assessment points set forth in the applicable Statement of Work. Consultant shall notify Company as soon as practicable if Consultant determines that any scheduled completion or milestone date or assessment point will be missed.
Performance and Schedule. The Consultant agrees to coordinate the Scope of Services (as detailed in Exhibit A) to provide for its timely completion, and will promptly notify the District of any anticipated delays, which may affect the work schedule. In the event that the time for completing the Scope of Services is exceeded due to circumstances beyond the control of the Consultant, and not due to any fault or negligence on the part of Consultant, the Consultant may request that the time for completion be extended accordingly. The District must consent in writing to the additional amount of time to complete the work and agrees that its consent will not be unreasonably withheld. The District shall not be liable for damage to Consultant on account of such delays.
