The City and YVHA represent that each has the authority to enter into this Agreement according to applicable Colorado law and the City's Home Rule Charter and Ordinances, and each represents that the terms and conditions hereof are not in violation of any agreement previously entered into by such party. This Agreement shall not become effective until a resolution or other necessary authorizations for the execution of the Agreement are effective.
PARTIES’ AUTHORITY. 23 The signatories hereto represent that they are fully authorized to enter into this Settlement 24 Agreement and bind the Parties to the terms and conditions hereof.
PARTIES’ AUTHORITY. 76. Counsel for all Parties warrant and represent they are expressly authorized by the Parties for whom they represent to negotiate this Settlement Agreement and to take all appropriate action required or permitted to be taken by such Parties pursuant to this Settlement Agreement to effectuate its terms and to execute any other documents required to effectuate the terms of this Settlement Agreement. The Parties and their counsel will cooperate with each other and use their best efforts to affect the implementation of the settlement. If the Parties are unable to reach agreement on the form or content of any document needed to implement the settlement, or on any supplemental provisions that may become necessary to effectuate the terms of this settlement, the Parties may seek the assistance of the Court to resolve such disagreement.

In entering into this Settlement Agreement, the Settlement Class Representatives and Individual Plaintiffs represent that they have relied upon the advice of their attorneys who are the attorneys of their own choice, and that the terms of this Settlement Agreement have been interpreted, completely read and explained to them by their attorneys, and that those terms are fully understood and voluntarily accepted by the Settlement Class Representatives and Individual Plaintiffs. Settlement Class Representatives and Individual Plaintiffs also represent and warrant that no other person or entity has or has had any interest in the claims or causes of action referred to herein, that they and their attorneys have the sole right and exclusive authority to execute this Settlement Agreement and receive the sums specified herein, and that they have not sold, assigned, transferred, conveyed, or otherwise disposed of any of the claims or causes of action referred to herein.
