Ownership of the ▇▇▇▇. Licensee hereby acknowledges that Licensor is the owner of the ▇▇▇▇ and that Licensee’s right to use the ▇▇▇▇ is derived solely from this Agreement. Licensee shall not directly or indirectly challenge or contest Licensor’s ownership of the ▇▇▇▇ or the validity of the ▇▇▇▇. Licensee acknowledges that it shall not acquire any rights of ownership whatsoever in the ▇▇▇▇ as a result of this Agreement or Licensee’s use of the ▇▇▇▇, and that all goodwill arising from ownership of the ▇▇▇▇ shall inure exclusively to the benefit of Licensor. Licensee agrees to notify Licensor promptly after it becomes aware of any actual or threatened infringement, imitation, dilution, misappropriation or other unauthorized use or conduct in derogation of the ▇▇▇▇ (“Infringement Event”). The Licensor that owns such ▇▇▇▇ shall have the sole right to bring any action to remedy the foregoing (or to refrain from taking any action in its sole discretion), and Licensee shall cooperate with such Licensor in same, at such Licensor’s expense. Licensee shall, at its expense, cooperate fully and in good faith with each Licensor for the purpose of securing, preserving and protecting such Licensor’s rights in and to the ▇▇▇▇.

Ownership of the ▇▇▇▇. Ownership of the ▇▇▇▇ and all trademark rights in the ▇▇▇▇ remain in Intertek, evenif it is used on the Product. The ▇▇▇▇ shall only be applied to a Product that complies with the Intertek Requirements and such ▇▇▇▇ shall be applied as specified in the Listing Report. The ▇▇▇▇ ▇▇▇ be applied only to those models and brands that are specifically named in the Listing report at the factory receiving active Follow-up Service and as noted on the Authorization to ▇▇▇▇. Except as provided herein and as indicated in Article 3.2 of the Certification Agreement for Applicants and Manufacturers, any other use of the ▇▇▇▇, or the Intertek name, on the Product is expressly prohibited.

Ownership of the ▇▇▇▇. 2.1 Licensee acknowledges that CMS is the owner of the ▇▇▇▇ and the Licensed IP throughout the world, and Licensee shall not challenge CMS’s ownership of the ▇▇▇▇ or the Licensed IP anywhere. 2.2 Licensee shall not acquire any ownership rights in the ▇▇▇▇ or the Licensed IP, or any other right adverse to CMS’s interests, by virtue of this Agreement or by virtue of Licensee’s use of the ▇▇▇▇ or the Licensed IP. Licensee agrees that its use of the ▇▇▇▇ under this Agreement shall inure to the benefit of CMS, and this Agreement does not confer on Licensee any goodwill or ownership interest in the ▇▇▇▇. Licensee hereby irrevocably assigns and transfers to CMS, and its successors and assigns, any and all right, title and interest that Licensee may have or otherwise acquire in and to all trademark, service ▇▇▇▇, or other proprietary rights in and to the ▇▇▇▇ throughout the world. 2.3 Licensee shall not directly or indirectly: (i) use the ▇▇▇▇ in any way that may tend to impair its validity as a proprietary trademark or service ▇▇▇▇; (ii) take any action that would jeopardize or impair CMS’s ownership of the ▇▇▇▇, or its legality and/or enforceability; (iii) apply for the registration or renewal of registration of the ▇▇▇▇ or any variation thereon, or any trademark, service ▇▇▇▇, trade name, symbol, word, or internet domain name (other than the Domain Names) which contains or is similar to, the ▇▇▇▇; (iv) use, advertise or promote any trademark, service ▇▇▇▇, trade name, or internet domain name that is confusingly similar to the ▇▇▇▇ or any contraction or abbreviation thereof; (v) use the ▇▇▇▇ in any jurisdiction, including within the Territory, after such time that Licensee knows or has reason to know that such use infringes or is alleged to infringe the trademark rights or other proprietary rights of another person, or (vi) use the Licensed IP after such time that Licensee knows or has reason to know that such use infringes or otherwise violates the intellectual property or other proprietary rights of another person (including any rights to privacy or personal information).

Ownership of the ▇▇▇▇. You acknowledge and agree that The Pallet Foundation, Inc. is the sole and exclusive owner of the ▇▇▇▇ and you have been granted a sublicense to use the ▇▇▇▇ from Licensor subject to this ownership. You shall not take any actions which are inconsistent with The Pallet Foundation, Inc.’s ownership rights including, but not limited to: (i) challenging The Pallet Foundation, Inc.’s ownership rights; (ii) challenging Licensor’s or any of the other Nature’s Packaging Stakeholders’ rights to use and sublicense the ▇▇▇▇ pursuant to their license agreement with The Pallet Foundation, Inc.; (iii) attempting to register the ▇▇▇▇ in Your own name; or (iv) using and/or registering a ▇▇▇▇ that is a colorable imitation of the ▇▇▇▇. The rights and obligations in this Section shall survive termination of this Agreement.

Ownership of the ▇▇▇▇. Licensee acknowledges that, as between Licensor and Licensee, Licensor owns all right, title and interest in and to the ▇▇▇▇. All use of the ▇▇▇▇ by Licensee shall inure to the benefit of Licensor. Nothing in this Agreement shall give Licensee any right, title or interest in or to the ▇▇▇▇ other than the right to use the ▇▇▇▇ in accordance with this Agreement. Licensee shall neither attack the validity of the license granted herein nor will it at any time do or cause to be done any act or thing contesting or in any way impairing or intending to impair any part of Licensor's right, title and interest in the ▇▇▇▇. Licensor warrants to Licensee that it is the owner of the ▇▇▇▇, has the right to license the rights herein described, and that use of the ▇▇▇▇ by the Licensee in connection with products included in the Badger Product Line will not infringe upon the rights of others, provided however, such warranty shall not extend to claims of infringement arising out of any modification or improvement made by Licensee to any product in the Badger Product Line or to any use of the ▇▇▇▇ by Licensee not licensed hereunder.

Ownership of the ▇▇▇▇. Each of the Issuer, the Co-Issuer and the Trustee acknowledges that, as among them, Taberna Capital Management owns all right, title and interest in the ▇▇▇▇ and the goodwill associated with the ▇▇▇▇ and that the use of the ▇▇▇▇ by the Issuer and Co-Issuer shall inure to the benefit of Taberna Capital Management. Each of the Issuer and Co-Issuer agrees that it shall never attack or contest or assist others in attacking or contesting any of the ▇▇▇▇ or Taberna Capital Management’s rights in any of the ▇▇▇▇. Each of the Issuer and Co-Issuer agrees not to register or attempt to register any of the ▇▇▇▇ or any confusingly or colorably similar trademark or service ▇▇▇▇, or cause any of the ▇▇▇▇ or any confusingly or colorably similar trademark or service ▇▇▇▇ to be registered, in any country, state or other jurisdiction, without the prior written permission of Taberna Capital Management. Taberna Capital Management hereby reserves the exclusive worldwide right to register the ▇▇▇▇ for use on and in connection with any financial services or otherwise.

Ownership of the ▇▇▇▇. Licensee acknowledges and agrees that CPDA is the sole owner of the ▇▇▇▇ and agrees not to take any actions that are inconsistent with CPDA’s ownership rights, including, but not limited to (i) challenging CPDA’s ownership rights and/or attempting to register the ▇▇▇▇ in any country, state, or other jurisdiction or (ii) performing any acts that directly or indirectly assist any third-party in using the ▇▇▇▇ without CPDA’s prior written authorization.

Ownership of the ▇▇▇▇. Licensee acknowledges that Licensor owns all right, title and interest in and to the Marks and the goodwill associated therewith and any use of the Marks by Licensee and any goodwill associated therewith shall inure to the benefit of Licensor for purposes of trademark, service ▇▇▇▇, and trade name ownership, registration, maintenance, and enforcement. Licensee shall not attempt to register any ▇▇▇▇ or any confusingly similar trademarks or domain names, or any variation or extension of the foregoing, anywhere in the world.
