Organization and Valid Existence. Purchaser is a Nevada limited liability company duly formed, validly existing and in good standing under the Laws of the State of Nevada and has full power and authority to carry on its business as now conducted.

Neither the character of the Company’s assets nor the nature of the Company’s business as presently conducted requires the Company to be qualified to transact business as a foreign entity in any other state or jurisdiction.

CABLE SYSTEMS AND CABLE SYSTEMS USA --------------------------------------------------------------------- Cable Systems is a corporation duly incorporated, organized and validly existing under the laws of the Province of Ontario. Cable Systems USA is a corporation duly incorporated, organized and validly existing under the law of the State of Delaware. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereunder have been or shall by the Closing Date be duly authorized by all necessary corporate action on the part of Cable Systems. Attached herewith as Schedule 3.1 is a copy of the articles of incorporation of each of Cable Systems and the Subsidiaries of Cable Systems.
