Operations Board Clause Samples
The Operations Board clause establishes a governing body responsible for overseeing and managing the operational aspects of a project or partnership. Typically, this board is composed of representatives from each party involved, who meet regularly to review progress, address issues, and make key decisions regarding the project's execution. By formalizing the structure and authority of the Operations Board, the clause ensures coordinated decision-making, facilitates communication between stakeholders, and provides a clear mechanism for resolving operational matters efficiently.
Operations Board. The “Operations Board” is the advisory body described herein.
Operations Board. A. There is hereby established an administrative body to be known as the Durham Emergency Services Operations Board (hereafter “Operations Board”). The Managers shall establish, and may amend from time to time, the Operations Board’s bylaws and rules of procedures Managers. The Operations Board shall consist of 14 persons selected as follows:
1. Three members shall be appointed by the City Manager. One shall hold a high-ranking command position in the City Police Department, one shall hold a high-ranking command position in the City Fire Department, and one shall hold a high-ranking position in the City Manager’s Office.
2. Three members shall be appointed by the Durham County Manager. One shall hold a high-ranking command position in the County Emergency Medical Services Department, one shall hold a high-ranking command position in the Office of the Durham County EMS Medical Director, and one shall hold a high-ranking position in the County Manager’s Office.
3. One member shall be the president of the Durham County Fire Chief’s Association.
4. One member shall be the Director of Emergency Communications.
5. One member shall be the Director of the City/County Department of Emergency Management.
6. Two members shall be appointed by the Sheriff of Durham County, one of whom shall hold a high-ranking command position and one of whom hold a management position in the Communications section of the Sheriff’s office.
7. One member shall be appointed by the Duke University Police Department and shall hold a high ranking position in that department.
8. One member shall be appointed by N.C.C.U Police Department and shall hold a high ranking position in that department.
9. One member shall be the manager of the City’s Communication Maintenance Division.
10. An individual who ceases to hold the position required for selection for the membership that he or she holds shall immediately lose his or her membership on the Operations Board.
Operations Board. An Operations Board is hereby created to serve in an advisory capacity to the Executive Director and Executive Board. The Operations Board shall be composed of:
i. The Police Chief or their designee from each Principal.
ii. Not less than one representative from a public safety dispatch agency providing service to at least one Principal.
iii. Not less than one representative from a fire district, regional fire authority or fire department providing service to at least one Principal.
iv. Not less than two representatives from Partner Agencies.
v. Any additional representatives as determined by the Executive Board, it being the intent that the number of Police Chiefs or their designees serving on the Operations Board shall not exceed the number of other representatives on the Operations Board. Operations Board Members, other than those identified in Section 9.a.i above, shall be nominated by a Member of the Executive Board and must be confirmed by a simple majority of the Executive Board. The Operations Board shall meet as often as it deems necessary and not less than six times each calendar year. The Operations Board shall endeavor to promote interagency collaboration, cooperation and information sharing between the Public Safety Operations Serving the Principals, the Agency and its staff, and Partner Agencies. Specifically, the Operations Board shall provide advisory support to the Executive Director and the Executive Board in the review and development of proposed Agency operating policies and procedures, proposed program and service options, proposed training and outreach regarding Agency operations and procedures, information sharing, and such other matters as the Executive Board may direct. The Operations Board may, in its discretion, and with consent of the Executive Board President, make presentations to the Executive Board at Board meetings. The Executive Director shall regularly report to the Executive Board on the information and advice offered by the Operations Board. The Executive Director shall prepare summary minutes of each meeting of the Operations Board, ensuring protection of sensitive operational information of the Agency and its Principals as well as the privacy of persons served by the Agency and Operations Board members. The Executive Board shall consider input from the Operations Board in its deliberations.
Operations Board. The Operations Board representative shall serve for a term of two years and may be one of two options:
a. The City Manager for the City of the Policy Board representative; or
b. A director or deputy-director level staff member as determined by the City Manager of the Policy Board representative.
Operations Board. A. There is hereby established an Operations Board under authority of the Policy Board. The members of the Operations Board will be the members of the Law Enforcement Services and Fire Services Committees. Each committee will have (1) one vote. If the Operations Board cannot reach consensus, the deciding vote will be cast by the Policy Board.
B. The responsibilities of the Operations Board shall be as follows:
i. Develop appropriate board governance procedures, such as by-laws, and appoint a Chair.
ii. Recommend appointment of the Executive Director subject to confirmation by the Policy Board.
iii. Supervise the Executive Director, through its Chair, to include an annual performance appraisal. Terminate the Executive Director, when appropriate. In the event of a tied vote on the Operations Board regarding termination of the Executive Director, the Policy Board may remove the Executive Director by majority vote.
iv. Develop operational priorities, policies and procedures.
v. Review requests for additional communications services and determine if such services should be provided. If approved by a majority of the Operations Board, provide the Policy Board with the recommendation and cost for the additional services.
vi. Ensure that the law enforcement service data communications network and any Criminal History Records Information received by means of such network shall be used solely for the purposes of the administration of the criminal laws or for the purposes enumerated in the Revised Code of Washington.
vii. Ensure that the fire service data communications network and any Protected Health Information Records received by means of such network shall be used solely for the purposes of providing medical treatment or for the purposes defined within State and Federal law.
viii. Any action by the Operations Board requires at least 1 representative from each service.
ix. Set the salary of the Executive Director within the range established by the Policy Board
Operations Board. A joint Operations Board (“Operations Board”) shall be established pursuant to I.C. § 36-1-7-9(5)(B) to oversee and administer the CCP. The Operations Board shall be comprised of the ▇▇▇▇▇ County Sheriff, Chief Deputy of the ▇▇▇▇▇ County Sheriff’s Department, Chief of Police for the City of Fort ▇▇▇▇▇, and Chief of the Fire Department for the City of Fort ▇▇▇▇▇.
Operations Board. A. The Operations Board with oversight by the Administration Board will consist of the following nine (9) members, or their designees:
1. The County Sheriff
2. The Chief of Police of the City of Long Beach
3. The Chief of Police of the City of ▇▇▇▇▇▇▇
4. The Chief of Police of the City of South Bend
5. The Fire Chief of Raymond Fire Department
6. The Fire Chief of Pacific County Fire Protection District #1
7. One Fire Chief representing the unrepresented rural fire districts.
8. One representative of North Pacific County Emergency Medical Services
9. One representative from Washington State Patrol (ex-offico non-voting member)
B. The Operations Board shall:
1. Develop operational priorities, policies and procedures for recommendation to the PACCOM Director.
2. Review requests for additional communications services and determine if such services should be provided. If such requests are approved by a majority of the Operations Board, the Administration Board shall be provided with the recommendation and cost for the additional services.
C. The law enforcement agency members of the Operations Board shall establish any necessary rules and regulations governing access to, security for, and operation of the data communications network and any Criminal Justice Records Information received by or through means of such network. Such rules and regulations shall be consistent with the provisions and requirements of Chapter 10.97, RCW.
D. The Operations Board shall establish regular recurring dates and time of meetings. The chair shall have the authority to appoint two standing sub-committees, one representing law enforcement interests and the other fire and emergency medical services interests for the purpose of recommending to the full Operations Board on items of interest to their particular group.
E. Any action, except “C”: above, by the Operations Board requires a meeting with at least five members present and a majority vote of those present.
Operations Board a. There is hereby established an Operations Board under authority of the Administration Board consisting of the following ten (10) members or their designees
(1) The ▇▇▇▇▇▇▇▇ County Sheriff.
(2) The Chief of Police of Olympia.
(3) The Chief of Police of Lacey.
(4) The Chief of Police of Tumwater.
(5) One chief law enforcement officer representing the Cities of Yelm and Tenino and the Town of Rainier.
(6) The Fire Chief of Olympia.
(7) The Fire Chief of Tumwater.
(8) The Fire Chief of District #3.
(9) One representative of the Fire Chief’s Association who is a fire chief, employee, or volunteer of a fire protection district which is a party to this Agreement to be selected by said Association.
(10) The Emergency Medical Services Administrator (Medic One).
b. The responsibilities of the Operations Board shall be as follows:
(1) Develop operational priorities, policies and procedures.
(2) Supervise the Director, through the Chair of the Board, to include an annual performance appraisal.
(3) Review requests for additional communications services and determine if such services should be provided. If approved by a majority of the Operations Board, provide the Administration Board with the recommendation and cost for the additional services.
c. The Operations Board shall bear full responsibility for insuring that the law enforcement data communications network and any Criminal History Records Information received by means of such network shall be used solely for the purposes of the administration of the criminal laws or for the purposes enumerated in Chapter 10.97 RCW. The law enforcement agency members of the Operations Board shall establish any necessary rules and regulations governing access to, security for, and operation of the data communications network and any Criminal Justice Records Information received by or through means of such network. Such rules and regulations shall be consistent with the provisions and requirements of Chapter 10.97 RCW.
d. The chair shall have the authority to appoint two standing sub- committees, one representing law enforcement interests and the other fire service interests for the purpose of recommending to the full Operations Board on items of interest to their particular group.
e. Any action by the Operations Board requires at least six members present and a majority vote of those present.
Operations Board. The Operations Board shall be comprised as defined in the Definition of Terms section of this agreement. The Operations Board shall use professional standards in developing policies and procedures for the Center and in monitoring the Centers performance. The Operations Board shall make recommendations to the Board and perform such other duties as may be assigned by the Board. The Operations Board shall annually organize itself with a Chair, Vice-Chair and Secretary.
Operations Board. 5.1 The Operations Board shall consist of a procurement officer nominated by each Partner and shall have following functions
