Ongoing Responsibilities. CMR shall provide and pay for all labor, materials, equipment, tools, construction equipment and machinery, transportation, and all other facilities and services necessary for the proper execution and completion of the Work in accordance with the requirements of the Contract Documents, including this Agreement and the UGC. CMR, not TFC, shall be responsible for all construction means, methods, techniques, sequences and procedures, and for coordinating all portions of the Work. CMR shall coordinate, monitor and inspect the work of Subcontractors to ensure conformance with the Contract Documents. CMR will thoroughly review and closely scrutinize the performance, means, methods, constructability, schedules, and costs of all of its Subcontractors and suppliers as is relevant to each Subcontractor’s discipline.
Ongoing Responsibilities. Supplier may, to the extent permitted by any Assigned Agreement, renew, modify, terminate or cancel, or request or grant any consents or waivers under, any such Assigned Agreement. Supplier shall have financial and administrative responsibility with respect to the Assigned Agreements, including responsibility for performance of all obligations under the Assigned Agreements.

Ongoing Responsibilities. In connection with the United States IND, an annual report is due in ***. The data cut-off for this report is ***. In order to allow for a smooth transitioning of responsibility regarding this report: (a) after the Effective Date, PFIZER shall continue to run the clinical safety tables for this report, at its cost; (b) LICENSEE shall take responsibility for drafting such annual report and submitting it to the FDA, and (c) PFIZER shall provide Consulting Services for input and review on such annual report as may be requested by LICENSEE according to the agreement on Consulting Services described in Section 1.1.3 of this Schedule B.
Ongoing Responsibilities. The Project Participant responsible for managing the Model shall do so consistent with the Model management protocols, which shall also include the following ongoing responsibilities:
Ongoing Responsibilities. Supplier shall have administrative (but not financial) responsibility at all times on or after the Cutover Date and during the Term with respect to the Managed Agreements, and Supplier shall provide PacifiCare with reasonable notice of all renewal, termination or cancellation dates and fees with respect to the Managed Agreements. Supplier shall not renew, modify, terminate or cancel, or request or grant any consents or waivers under, any Managed Agreements without the consent of the PacifiCare Supplier Relationship Manager. Supplier shall pay or discharge, as applicable, any fees or charges or other liability or obligation imposed upon PacifiCare in connection with (i) any such renewal, modification, termination or cancellation of, or consent or waiver under, the Managed Agreements, obtained or given without PacifiCare's consent as required under the foregoing sentence or (ii) Supplier's failure to comply with the terms of the Managed Agreements.
Ongoing Responsibilities. The CEO is expected to recommend, develop, implement and refine a comprehensive strategy to address the evolving characteristics and needs of the CCAC. Over time, the CEO is expected to continue to undertake the necessary timely actions to rejuvenate the mandate to reflect changes required by the Ministry, LHIN and the Board of Directors in order to meet the changing needs of the community in which it provides services. Working with other CCACs and other key internal and community stakeholders (such as hospitals, contracted service providers, LTC homes and community support service agencies), the CEO is accountable for implementing and refining a change management plan to further operationalize the transformed structure. The CEO will continue to act, where delegated by the Board of Directors to do so, as a pivotal link to the LHIN, the Ministry, community leaders, agencies and the community at large. • Provides leadership, guidance and management to the CCAC staff, including human and financial resources management; in accordance with accepted business and financial practices and standards, and Ministry, LHIN and Board directives, guidelines, policies and procedures, as may be changed or established from time to time; Translates the strategic direction of the Board, goals and objectives into operational plans and activities in accordance with the approved business plan and engages the CCAC team to effectively carry out the mandate; Develops and promotes a positive and productive CCAC work culture, consistent with the shared mission, vision and values of the CCACs, to attract, motivate and retain the best personnel; and Demonstrates the values of the organization.
Ongoing Responsibilities. Review with the District certain ongoing responsibilities of the District in connection with the financing, and assist in arranging for the provision of certain of ongoing services at the direct written request of the District.
