OI S. A., a Brazilian corporation (sociedade por ações) headquartered in the City and State of Rio de Janeiro, at Rua do Lavradio nº. 71, 2nd floor, Center, registered with the CNPJ/MF under n°. 76.535.764/0001-43, duly represented for the purposes hereof pursuant to its Bylaws (“Oi”); and
OI S. A., a company organised under the laws of the Federative Republic of Brazil, whose registered office is at Rua do Lavradio 00, 0xx Xxxxx, Xxxxxxxx, Xxx xx Xxxxxxx, Xxxxx of Rio de Janeiro as guarantor of the Notes (the “Guarantor”); and
OI S. A., of Xxx xx Xxxxxxxx 00, 0xx Xxxxx, Xxxxxxxx, Xxx xx Xxxxxxx, Xxxxx of Rio de Janeiro, Brazil as guarantor of the Bonds (the “Guarantor”);
OI S. A., a publicly traded company with head offices in the City of Rio de Janeiro, State of Rio de Janeiro, at Rua do Lavradio, 71, 2nd floor, enrolled as a taxpayer at CNPJ/MF under No. 76.535.764/0001-43, herein represented pursuant to its By-Laws (“Oi” or “Mergor”) Bratel Brasil and Oi shall jointly be referred to simply as “Parties” or “Companies”.

A. – UNDER JUDICIAL REORGANIZATION, a joint-stock company headquartered in the City and State of Rio de Janeiro, at Xxx xx Xxxxxxxx, xx 00, 0x xxxxx, Xxxxxx, XXX CODE 20230-070 and enrolled with the National Register of Legal Entities of the Ministry of Economy (CNPJ/ME) under No. 76.535.764/0001-43, herein represented pursuant to its Bylaws (“Oi”);
OI S. A. – Em Recuperação Judicial (the “Borrower” or “Oi”);
OI S. A., having its corporate seat at Rua do Lavradio 71, 2nd Floor, Downtown, Xxx xx Xxxxxxx, Xxxxx xx Xxx xx Xxxxxxx, Xxxxxx as guarantor of the Notes (the “Guarantor”);
OI S. A., having its corporate seat at Rua do Lavradio 00, 0xx Xxxxx, Xxxxxxxx, Xxx xx Xxxxxxx, Xxxxx of Rio de Janeiro, Brazil in its capacity as guarantor of the Notes (the “Guarantor”);
OI S. A., of Rua do Lavradio 71, 2nd Floor, Downtown, Xxx xx Xxxxxxx, Xxxxx xx Xxx xx Xxxxxxx, Xxxxxx (the “Guarantor”);
