Unless the Borrower shall promptly notify the Credit-Linked Issuing Lender and the Administrative Agent of its intent to otherwise reimburse the Credit-Linked Issuing Lender after receipt by the Borrower of notice of a drawing, the Borrower shall be deemed to have requested a Credit-Linked Purchase in the amount of such drawing as provided in subsection (d)(ii) below, the proceeds of which will be used to satisfy the reimbursement obligations. The Borrower's reimbursement obligations hereunder shall be absolute and unconditional under all circumstances irrespective of any rights of set-off, counterclaim or defense to payment the Borrower may claim or have against the Credit-Linked Issuing Lender, the Administrative Agent, the Lenders, the beneficiary of the Credit-Linked Letter of Credit drawn upon or any other Person, including without limitation any defense based on any failure of the Borrower to receive consideration or the legality, validity, regularity or unenforceability of the Credit-Linked Letter of Credit; provided that the Borrower shall not be deemed to have waived any claims it may have against the Credit-Linked Issuing Lender, the Administrative Agent, the Lenders, the beneficiary of the Credit-Linked Letter of Credit drawn upon or any other Person and may separately pursue such claims after payment of...

Noon. The second shift shall follow the completion of the first shift with the following starting and quitting times: Midnight Employees required to work the second shift will rotate with the equivalent number of first shift Employees every two weeks. However, any Employee may voluntarily work on the second shift without rotation while the second shift exists. On Saturdays, Sundays and Statutory Holidays the Company may schedule either six or eight hour shifts, There will be a lunch break at the same time as in the regular work week on eight hour shifts only. In each case the starting time for the first shift will be a.m. with the second shift to start at the end of the first shift. If and when a hour operation is required and such an operation is to be covered by three shifts, the following starting and quitting times for the shifts shall apply with the Employees to receive eight hours pay for each full shift worked.
