Noon. The second (2nd) shift is any shift that regularly starts on or after 12:00 Noon, but before 9:00 p.m. The third (3rd) shift, or midnight shift, is any shift that regularly starts on or after 9:00 p.m.; but before 6:00 a.m.

If the Borrower shall be given notice of a drawing by 12:00 Noon and shall fail to reimburse the Credit-Linked Issuing Lender on the same date of such notice, the unreimbursed amount of such drawing shall bear interest from the date of notice until the first to occur of (A) the reimbursement of such drawing or (B) the conversion of such Unreimbursed Drawing to a Term Loan pursuant to subsection (d)(ii) below at a per annum rate equal to the ABR Default Rate. If the Borrower shall be given notice of a drawing after 12:00 Noon, the unreimbursed amount of such drawing shall bear interest from the date of notice until the next Business Day at a per annum rate equal to the Alternate Base Rate plus the Applicable Percentage and if the Borrower shall fail to reimburse the Credit-Linked Issuing Lender on such next Business Day, the unreimbursed amount of such drawing shall bear interest from the Business Day succeeding the date of notice until the first to occur of (A) the reimbursement of such drawing or (B) the conversion of such Unreimbursed Drawing to a Term Loan pursuant to subsection (d)(ii) below at a per annum rate equal to the ABR Default Rate. Unless the Borrower shall promptly notify the Credit-Linked Issuing Lender and the Administrative Agent of its intent to otherwise reimburse the Credit-Linked Issuing Lender after receipt by the Borrower of notice of a drawing, the Borrower shall be deemed to have requested a Credit-Linked Purchase in the amount of such drawing as provided in subsection (d)(ii) below, the proceeds of which will be used to satisfy the reimbursement obligations. The Borrower's reimbursement obligations hereunder shall be absolute and unconditional under all circumstances irrespective of any rights of set-off, counterclaim or defense to payment the Borrower may claim or have against the Credit-Linked Issuing Lender, the Administrative Agent, the Lenders, the beneficiary of the Credit-Linked Letter of Credit drawn upon or any other Person, including without limitation any defense based on any failure of the Borrower to receive consideration or the legality, validity, regularity or unenforceability of the Credit-Linked Letter of Credit; provided that the Borrower shall not be deemed to have waived any claims it may have against the Credit-Linked Issuing Lender, the Administrative Agent, the Lenders, the beneficiary of the Credit-Linked Letter of Credit drawn upon or any other Person and may separately pursue such claims after payment of...

Noon. The second shift shall follow the completion of the first shift with the following starting and quitting times: Midnight Employees required to work the second shift will rotate with the equivalent number of first shift Employees every two weeks. However, any Employee may voluntarily work on the second shift without rotation while the second shift exists. Such volunteers will not receive change of shift if he requests and is granted a change from first shift to second shift, or second shift to first shift. Shift change lists will be posted by Thursday noon. Where feasible and without interfering with production, the rotation to a second or third shift will be within the Class A, C and Trainee classifications, firstly by seniority and secondly by the trade skill required on the particular shift. On Saturdays, Sundays and Statutory Holidays the Company may schedule either six or eight hour shifts, There will be a lunch break at the same time as in the regular work week on eight hour shifts only. In each case the starting time for the first shift will be a.m. with the second shift to start at the end of the first shift. If and when a hour operation is required and such an operation is to be covered by three shifts, the following starting and quitting times for the shifts shall apply with the Employees to receive eight hours pay for each full shift worked. Noon. The Director of Parks and Recreation (“Director”) shall initially inspect the facilities following the initial cleaning. TBF shall maintain on a daily basis the cleanliness of the facilities and keep the facilities stocked with supplies throughout the dates of the Event. At the conclusion of the Event, TBF shall perform a final cleaning of the facilities to a level of cleanliness equal to that existing at the time of the Director’s initial inspection. At the conclusion of the Event, the Director or his/her designee may inspect the facilities and, if the cleanliness of such facilities meets with the Director’s approval, the Director shall provide to TBF verbal or written confirmation of approval. Should the cleanliness of the facilities not meet with Director’s approval, TBF shall have 12 hours to comply with Director’s directions(s).
