The Non-Extending Lender clause defines the rights and obligations of lenders who choose not to participate in an extension of a loan's maturity date or other key terms during an amendment process. If and only if each of the Lenders (after giving effect to any substitution of Lenders in accordance with Section 8.12) has advised the Borrower and the Administrative Agent of its agreement to extend the Commitment Termination Date as aforesaid on or prior to the Consent Date, then the Commitment Termination Date shall be extended automatically, without any other action by any Person, to the date that is one year after the Existing Commitment Termination Date, provided that on the Consent Date, the representations and warranties in Section 4.01 are true and correct as of such date and no Default shall have occurred and be continuing. The Administrative Agent will promptly notify the Borrower and the Lenders of each extension of the Commitment Termination Date pursuant to this Section 2.05(b).
Non-Extending Lender. The Non-Extended Final Maturity Date for each Non-Extending Lender shall be identified on Schedule 1.01(b).
