No Public Statements. Subject always to MPP’s obligations under the Pfizer- MPP Agreement, MPP and Licensee agree that no public release or announcement concerning this Agreement shall be issued without the prior written consent of MPP and Pfizer, except if such release or announcement may be required by law (including without limitation information to any Agency), in which case Licensee shall allow Pfizer reasonable time to comment on such release or announcement in advance of such issuance.
No Public Statements. Neither Party may issue or release any announcement, statement, press release, or other publicity or marketing materials relating to this Agreement or, unless expressly permitted under this Agreement, otherwise use the other party’s trademarks, service marks, trade names, logos, domain names, or other indicia of source, association, or sponsorship, in each case, without the other Party’s prior written consent.
No Public Statements. Without the prior written consent of the other party and except as permitted by clause 30 above, a party must not make any public statement or announcement regarding this document.
No Public Statements. EMPLOYEE and THE COMPANY represent and warrant that they will refrain from making any public statement regarding EMPLOYEE’s separation from THE COMPANY absent written approval from the other, except that THE COMPANY is permitted to make any disclosures regarding EMPLOYEE’s status or this Release as required by law or regulations, including release of such information or that is required to be disclosed by THE COMPANY in its filings under the Securities Exchange Act of 1934 with the SEC.
No Public Statements. Each Shareholder hereby agrees that he or it shall not, and shall cause each of his or its Affiliates (other than the Company and its directors, to the extent permitted by the Investment Agreement) not to, issue any press releases or make any public statements with respect to this Agreement, the Investment Agreement or any of the transactions contemplated by the Investment Agreement without the prior written consent of Investor.
No Public Statements. Both parties agree to not make any public statements regarding Employee's employment or the termination of Employee's employment (for whatever reason) that are not agreed to by the other party. Both parties agree not to make any public statement that would libel, slander or disparage the other party, including any party's Affiliates or respective past or present officers, directors, employees or agents.
No Public Statements. Subject always to MPP's obligations under the Shionogi- MPP Agreement, MPP and Licensee agree that no public release or announcement concerning this Agreement shall be issued without the prior written consent of MPP and Shionogi, except if such release or announcement may be required by law (including without limitation information to any Agency), in which case Licensee shall allow Shionogi reasonable time to comment on such release or announcement in advance of such issuance.
No Public Statements. Neither party may make any public statements or -------------------- disclosures concerning this Agreement or its terms to any medium except with the prior approval of both parties or as required by law or the rules of any applicable stock exchange or any governmental agency.
No Public Statements. The Parties agree that if this Agreement is terminated, neither Party shall disclose to any Third Party any reason for not proceeding without the express written consent of the other Party, and the Parties shall agree on statements for public disclosure, such agreement not to be unreasonably withheld, delayed or conditioned. Notwithstanding the foregoing, each Party shall be permitted to make such disclosures if and to the extent required by (a) judicial order, or (b) applicable Laws, including any rules or requirements under any stock exchange on which such Party is listed or may be listed or by any regulatory authorities, provided that, with respect to subsections (a) and (b), the Party seeking disclosure shall provide the other Party with advance notice and shall to the extent practical and requested by the other Party, cooperate with such other Party in seeking confidential treatment of such information.
No Public Statements. Neither Party will issue any press release or make any public statement about this Agreement without the prior written consent of the other Party. Notwithstanding the foregoing, the Parties desire to mutually develop a joint press release to be issued on or after the full execution of this Agreement.
