No Proxy. Fargo has not granted nor is Fargo a party to any -------- proxy, voting trust or other agreement which is inconsistent with, conflicts with or violates any provision of this Agreement.
No Proxy. The Investor has not appointed or granted any proxy, which appointment or grant is still effective, with respect to the Investor Securities owned by the Investor.
No Proxy. A Commissioner may not delegate the right to vote on Board matters to a designee; provided, however, that a Commissioner may send a non-voting designee to Board meetings for the purpose of gathering information for and expressing the viewpoint of the designee’s Commissioner.
No Proxy. No Tessera Stockholder has appointed or granted any proxy, which appointment or grant remains effective, with respect to any Tessera Stock other than pursuant hereto.

No Proxy. Notwithstanding anything in the Tender Agreement, (i) the undersigned Stockholder shall not deliver the Proxy or any other form of proxy to Parent and (ii) Parent shall not have any right, authorization or power to vote any of the undersigned Stockholder’s Shares on any matter.

The Significant Shareholders have not granted or agreed to grant any proxy, power of attorney or other right to vote the Significant Shareholder’s Shares, or entered into any voting agreement, voting trust, vote pooling or other agreement with respect to the right to vote, call meetings of Sterlite Gold Shareholders or given consents or approval of any kind with respect to any of the Significant Shareholder’s Shares.
No Proxy. Drivers who do not have a standing proxy on file and who fail to proxy will be assigned by the Dispatcher to work remaining after all other proxies are assigned. Work remaining to include all work including duties but not overnight assignments. During the first six (6) calendar months of work, new drivers shall not proxy for work. Work shall be assigned by the Dispatchers.
No Proxy. The Stockholder represents and warrants that any proxies heretofore given to any Person other than Parent or Sub in respect of the Subject Securities or Additional Shares are not irrevocable, and hereby revokes any such proxies by virtue hereof.
