No Previous Assignment. The Consenting Party represents and warrants to the Assignee that it has not assigned, transferred or hypothecated, nor previously consented to any assignment, transfer or hypothecation of, the Assigned Agreement or any interest therein.
No Previous Assignment. The Manager confirms, as of the date of this Agreement, that it has not received any notice of assignment from the Borrower with respect to the Contract, other than the notice contained in this Agreement.
No Previous Assignment. The Service Provider confirms, as of the date of this Agreement, that it has not received any notice of assignment from the Manager with respect to the Services Agreement, other than the notice contained in this Agreement.
No Previous Assignment. The Shipbuilder confirms, as of the date of this Agreement, that it has not received any notice of assignment from the Borrower with respect to the Contract, other than the notice contained in this Agreement.

The Refund Guarantor confirms, as of the date of this Agreement, that it has not received any notice of assignment from the Borrower with respect to the Guarantee, other than the notice contained in this Agreement and agrees not to consent to any other assignment or transfer by the Borrower in respect of the Guarantee without the prior written consent of the Security Trustee.
No Previous Assignment. Except for the Omnibus Transfer above and for the assignment contemplated by this Consent to Assignment, the Consenting Party represents and warrants to the Collateral Agent that it has no actual notice of any assignment of the Contract and that it has not previously consented to any assignment, transfer or hypothecation of the Contract or any interest therein by the Company, other than subcontracts entered into in the ordinary course of business.

Except as set forth in paragraph 5(e) below with respect to HSH, Call Now and Allex, xxintly and severally, hereby represent and warrant that no agreement, representation or undertaking between Call Now or Allex xxx Compressent, including any agreement referred to in this Agreement, has been transferred, assigned, pledged or encumbered in any way whatsoever, directly or indirectly, by absolute or partial conveyance, option, warrant or otherwise.
