No Material Effect for any other purpose that does not materially and adversely affect the interests of the Owners of the Bonds. With respect to amendments under this Section 11.1 executed without the consent of Owners of the Bonds, the Paying Agent shall be fully protected, and shall incur no liability, in executing any Supplemental Paying Agent Agreement solely in reliance on the Opinion of Bond Counsel received by it under Section 11.3 hereof.
