No Material Defects. (08/19) Contractor warrants that the Goods provided shall be free of any defects in design, material and workmanship.
No Material Defects. To THCI's knowledge, and except as set forth on Section 3.19 of the THCI Disclosure Schedule, there are no defects in the roof, foundation, structural, mechanical or HVAC systems and masonry walls in any of the Properties that would have a Material Adverse Effect.
No Material Defects. With respect to the Owned Real Property, and to Seller’s Knowledge with respect to the Leased Real Property, there are no material defects in any of the improvements located on the Real Property. The improvements located thereon have been and are presently used and operated in compliance in all material respects with, and in no material way violate any, Permitted Encumbrances or applicable Laws. Seller has not received any written notice of any such defects or violations.
No Material Defects. Except as set forth on Schedule 8.3.2, there are no material defects with respect to the Property, including, without limitation, no material defects in the structural and load-bearing components of the Improvements. For purposes of this representation and warranty, material defects shall be defined as those defects that would cost in excess of $5,000 to repair or remedy.
No Material Defects. The Company has made available to Parent all information relating to any problem or issues with respect to any of the Company Products under warranty that does, or may reasonably be expected to, materially adversely affect the value, functionality or fitness for the intended purpose of such Company Product. Without limiting the foregoing, (i) there are no material defects, malfunctions or nonconformities in any of the Company Products under warranty; (ii) there have been, and are, no claims asserted against the Company, any of its Subsidiaries or any of its or their respective distributors related to the Company Products or other Company Technology; and (iii) the Company and its Subsidiaries have not received and, to the Knowledge of the Company there is no basis for, any requirements to recall any Company Products. All Company Products perform in all respects in accordance with the design specifications to which the Company Products were developed. All services performed by or on behalf of the Company or any of its Subsidiaries for any other Person, including all installation services, integration services, repair services, maintenance services, support services, training services and upgrade services, have been performed properly and in conformity with applicable Laws.
No Material Defects. To Seller’s Actual Knowledge, there are no material defects with respect to the Real Property, including, without limitation, no material defects in the structural and load-bearing components of the Improvements, the roof(s), the parking lot(s), the plumbing, heating, air conditioning and electrical and life safety systems, and all such items are in good operating condition and repair.
No Material Defects. The Company has made available and disclosed in writing to Acquiror its current material bug list with respect to any Company Products.
No Material Defects. Any Software to be provided by Supplier hereunder shall substantially conform to all written Documentation provided by Supplier and function properly in all material respects when operated in the Supported Environment (as defined in Exhibit LI); the Documentation and other materials describing the Software hereunder completely and accurately reflect their operation and functionality. Supplier does not warrant that the operation of the Software provided will be uninterrupted or error free.
No Material Defects. To the Knowledge of Seller, no defect exists in any of the buildings or other improvements constituting the Facility that could reasonably be expected to cause a Material Adverse Effect.
No Material Defects. The Company has made available to Parent all material information, that to the Knowledge of the Company, relates to any defect or similar issues with respect to any of the Company Products or any other material Technology of the Company that does, or may reasonably be expected to, materially adversely affect the value, functionality or fitness for the intended purpose of such Company Product or Technology. Without limiting the foregoing, to the Knowledge of the Company (i) there are no material defects, malfunctions or nonconformities in any of the Company Products, other than defects, malfunctions, and nonconformities that occur in the ordinary course of manufacturing and handling consistent with historical levels; (ii) there have been, and are, no Claims asserted against the Company or any of its or their respective distributors related to the Company Products, other than Claims in the ordinary course for repair, replacement, or refunds consistent with historical levels; and (iii) the Company has not received and, to the Knowledge of the Company there is no basis for, any requirements to recall any Company Products.
