No Governmental Orders. To ▇▇▇▇▇▇’▇ knowledge, there are no Governmental Orders outstanding against any Initial Asset Trust.
No Governmental Orders. None of the parties hereto shall be subject to any order, decree or injunction of a court or agency of competent jurisdiction which enjoins, conditions or prohibits the consummation of this Agreement or the transactions contemplated hereby.
No Governmental Orders. No Governmental Entity of competent jurisdiction shall have initiated any action seeking, or shall have enacted, issued, promulgated, enforced or entered any order, executive order, stay, decree, resolution, judgment or injunction or statute, rule or regulation (in each case, whether temporary, preliminary or permanent) to prevent or prohibit the consummation of any of the transactions contemplated by this Agreement or to make it illegal for either party hereto to perform its obligations hereunder.
No Governmental Orders. At the Closing Date, there shall be no Governmental Order in effect, and there shall be no action, investigation, proceeding or litigation instituted, commenced, pending or threatened by or before any Governmental Authority in which a Governmental Authority is a party, (i) that restrains or prohibits or renders illegal the Closing, (ii) that restrains or prohibits or renders illegal the consummation of the other transactions contemplated by the Transaction Agreements, other than the failure of which to be so consummated would not reasonably be expected to have, individually or in the aggregate, a Material Impact on the current or future business operations of Comcast or Newco or (iii) that would otherwise reasonably be expected to have, individually or in the aggregate, a Material Impact on the current or future business operations of Comcast or Newco.
No Governmental Orders. There is no outstanding order, decree (including a consent decree), judgment, writ, injunction, directive, decision, award, stipulation, or ruling by or with any Governmental Authority, arbitrator or arbitration board involving the IPG Policies, or binding upon the Company except as would not reasonably be expected to have a material adverse effect on the IPG Policies or the Company’s ability to satisfy its obligations under this Agreement. There is no investigation or proceeding pending or, to the knowledge of the Company, threatened by, any Governmental Authority, against (i) the Company with respect to the IPG Policies, or (ii) against the Company generally, except as would not reasonably be expected to have a material adverse effect on the Company’s ability to satisfy its obligations under this Agreement.
No Governmental Orders. At the Closing Date, there shall be no Governmental Order in effect that restrains, prohibits or renders illegal the consummation of the transactions contemplated by the Transaction Documents, and there shall be no action, investigation, proceeding or litigation instituted, commenced, pending or threatened by or before any Governmental Authority in which a Governmental Authority is a party challenging or seeking to restrain, prohibit or render illegal the consummation of the transactions contemplated by the Transaction Documents.
No Governmental Orders. There are no outstanding Governmental Orders and no unsatisfied judgments, penalties or awards against or affecting Seller or any Company or any Company’s businesses, properties or assets.
No Governmental Orders. To ▇▇▇▇▇▇’ knowledge, there are no Governmental Orders outstanding against West Acquisition, Facility Acquisition or any Engine Trust.
No Governmental Orders. As of the Effective Time, no litigation shall have been instituted before any court or Governmental Authority, or instituted or threatened by any Governmental Authority, that would (i) materially and adversely affect the Purchaser's ability to own the Purchased Assets or operate or conduct the Business after the Effective Time in the manner operated and conducted prior to the Effective Time or (ii) require the Purchaser to divest any material portion of the Business or the Purchased Assets or any other material assets or interests of the Purchaser.
No Governmental Orders. No preliminary or permanent injunction or other Governmental Order which prevents or threatens to prevent the consummation of the sale of the Purchased Assets contemplated hereby shall have been issued and remain in effect and no Law shall have been enacted which prohibits the consummation of the sale of the Purchased Assets.
