No Financing Statement. No effective financing statements or other instruments similar in effect covering any Asset of the Borrower are on file in any recording office, except those filed in favor of the Program Agent pursuant to this Agreement.

The liens and security interests in the Collateral in favor of Secured Party shall be first priority, perfected liens and security interest. No financing statement or security agreement covering any of the Collateral or its proceeds is on file in any public office, except as herein set forth.
