No Assignment by Contractor. The Contractor shall not assign by power of attorney or otherwise, or sublet or subcontract, the Work or any part thereof, without the previous written consent of the Awarding Authority and shall not, either legally or equitably, assign any of the moneys payable under this Contract, or Contractor's claims hereunder, unless with the like consent of the Awarding Authority, whether said assignment is made before, at the time of, or after the execution of the Contract. The Contractor shall remain responsible for satisfactory performance of all Work sublet or assigned. Consent of the Awarding Authority shall not be deemed to constitute a representation or waiver of any right hereunder by the Awarding Authority as to the qualifications or the responsibility of the Contractor or Subcontractor(s).
No Assignment by Contractor. Contractor shall not, without the prior written consent thereto of Owner, which consent Owner shall have the right, in its sole, total and arbitrary discretion to withhold for any reason whatsoever, assign or transfer this Agreement or any portion or part of the Work, or assign any payments to others. Any assignment or transfer made without the written consent of Owner, either expressly, impliedly, or by operation of law, shall be void and of no force or effect.
No Assignment by Contractor. The Contractor shall not sublet or assign the Contract, or any portion thereof, or any monies due thereunder, without the express prior written consent and approval of the District, which approval may be withheld in the sole and exclusive discretion of the District. The District's approval to such assignment shall be upon such terms and conditions as determined by the District in its sole and exclusive discretion.
No Assignment by Contractor. (a) Contractor may assign all of its right, title and interest in and to or arising out of or in connection with this EPC Contract as security for the benefit of its lender(s) or to a related company (as defined in clause (b) below) for which ORMAT Industries Ltd. is the ultimate parent provided that such related company signs a document assuming and agreeing to perform all of Contractor's obligations under this EPC Contract. No such assignment shall relieve Contractor of any obligation hereunder.
No Assignment by Contractor. The Contractor shall not assign this Agreement or any interest in any funds that may be due or become due hereunder or enter into any contract with any person, firm or corporation for the performance of the Contractor's obligations hereunder or any part thereof, except as specifically provided herein, without the prior approval in writing of the General Contractor. If the Contractor, with the consent of the General Contractor, shall enter into a subcontract with any Subcontractor for the performance of any part of this Agreement, the Contractor shall be as fully responsible to the General Contractor for the acts and omissions of such Subcontractor and of persons employed by such subcontractor as the Contractor would be for its own acts and omissions and those of persons directly employed by it. Nothing in this Section 16.1 shall be read to limit the General Contractor's rights to assign its interest in this Agreement or the Project under Section 16.2.
No Assignment by Contractor. This Agreement is personal to Contractor, and Contractor may not assign (by operation of law or otherwise), subcontract, or transfer in any way any of Contractor’s rights and obligations under this Agreement without the express, prior written permission of Company.
No Assignment by Contractor. Contractor shall not assign this Contract in whole or in part without the written consent of CICOA.
No Assignment by Contractor. The rights, obligations and responsibilities established herein shall not be assigned, delegated, or transferred by Contractor without the express written consent of AURA.
No Assignment by Contractor. Neither this Agreement nor any payments becoming due thereunder may be assigned by Contractor without the written consent of Owner. Contractor warrants that it has not and will not assign its claim for payment nor its right to perfect a lien against the Property.
No Assignment by Contractor. Contractor may not assign, by operation of law or otherwise, any of its rights or obligations under the Contract Documents without Builder's prior written consent, which may be granted or withheld in Builder's sole discretion. The making of any assignment by Contractor, or any consent to it by Builder, will in no event relieve Contractor, or its surety, of any of its obligations under the Contract Documents. This Section 13.6 does not apply to the subcontracting by Contractor of a portion of the Work, under the Contract Documents. Subject to the above, the Contract Documents are binding upon and will inure to the beneft of the successors and permitted assigns of the parties.
