Minute Book. Buyer’s Minute Book is accurate, complete and up to date.
Minute Book. The minute book of the Company contains a complete summary of all meetings of directors and stockholders and contains all written consents of such directors and stockholders since the time of incorporation, and accurately reflects in all material respects all transactions referred to in such minutes.
Minute Book. OTE’s minute book contains, and will contain at the Closing Date, a materially complete record of all meetings, consents, or other actions of its board of directors and shareholders for the period from inception through the date hereof and accurately reflects the substance of all transactions referred to in such minutes in all material respects.
Minute Book. TetriDyn’s minute book contains, and will contain at the Closing Date, a complete record of all meetings, consents, or other actions of its board of directors and shareholders for the period from inception through the date hereof and accurately reflects the substance of all transactions referred to in such minutes in all material respects.
Minute Book. The Trustees shall cause all resolutions in writing passed by them in accordance with Section 4.08 hereof and minutes of proceedings at all meetings of the Trustees and of committees appointed by the Controlling Trustees to be entered in books kept for the purpose. Any minutes of a meeting shall be evidence of the proceedings.
Minute Book. The minute books of the Company and each Subsidiary have been made available to the Underwriters and counsel for the Underwriters, and such books (i) contain a complete summary of all meetings and actions of the board of directors (including each board committee) and stockholders of the Company and each Subsidiary since the time of its respective incorporation or organization through the date of the latest meeting and action, and (ii) accurately in all material respects reflect all transactions referred to in such minutes.
Minute Book. The minute books of the Company contain an accurate record of all formal proceedings of the Company’s board of directors, committees of the board of directors, and its shareholders.
Minute Book. The records of meetings and other corporate actions of ICE (including any committees of the Board) which are contained in the Minute books of ICE contain complete and accurate records of the matters reflected in such minutes.
Minute Book. The minute book of the Company made available to Parent or counsel to Parent contains minutes of all meetings of directors and stockholders since the time of incorporation and reflects all transactions referred to in such minutes accurately in all material respects.
Minute Book. As of Closing, the Company's minute book will be in good order, and otherwise complete, accurate and up-to-date in all material respects, and include, without limiting the foregoing, true copies of the Company's Certificate of Incorporation and By-Laws as amended, and minutes of all meetings and actions taken by the directors and shareholders of the Company prior to Closing.
