Memorialization. Prior to execution of this AGREEMENT, the PARTIES may have shared information or materials with one another that would be considered COMMON INTEREST INFORMATION. The PARTIES hereby state their intention and belief, and they hereby agree that such information is subject to the same legal privileges and protections as though it had been shared after the execution of this AGREEMENT. Without limiting the foregoing, this AGREEMENT memorializes an understanding between the PARTIES that has existed since before the PARTIES shared any COMMON INTEREST INFORMATION in connection with the PATENT RIGHTS and the terms of this AGREEMENT apply to any COMMON INTEREST INFORMATION that was shared between the PARTIES and/or their counsel before the EFFECTIVE DATE.
Memorialization. Manufacturing shall memorialize and record in hardcopy and digital form all Proprietary Technology necessary and useful for Manufacturing to formulate, make, have made, and use the Proprietary Recipe and the Proprietary Equipment.
Memorialization. The Interment Rights being purchased hereunder do not necessarily possess a monument privilege. The Seller retains the right to prohibit upright monuments or to limit upright monuments to certain designated sections of the cemetery. A memorial tablet conforming to Seller’s rules and regulations may be placed on any interment space covered by this agreement. However, no interment shall be made nor any memorial placed thereon until the total Cash Price and any delinquency charges are fully paid, except on written permission of Seller. Any interment made or memorial which may be placed before full payment of the total Cash Price and delinquency charges shall be only temporary, and no rights shall, by reason of said interment or installation of memorial, be acquired by Purchaser.
Memorialization. Care and Maintenance Fund Contribution for Marker and Monument Installation: In accordance with the FBCSA and Ontario Regulation 30/11, the following contributions will be made to the Care and Maintenance Fund for every installation of a marker or monument.
Memorialization. 27.1.The Parties agree to establish memorials honoring the victims of the conflicts in Darfur. The memorialization will help provide closure for those who experienced the conflict, and education and awareness-raising for those who did not. Memorialization for victims of the conflict in Darfur may take many forms, including but not limited to annual public ceremonies, museums, documentation centers, or monuments.
Memorialization. If any change in this Agreement shall be deemed to have been made by the operation of this Section 5.
Memorialization. Once the Lease Commencement Date and Rent --------------- Commencement Date for the Premises has been established, within ten days after the request of either party, the other party shall execute and deliver a written acknowledgment, setting forth: the Lease Commencement Date, the Rent Commencement Date, the original Lease Expiration Date, and the earliest and latest date for notice of exercise of Tenant's option to extend pursuant to Section 2.5.
Memorialization. Eaucentrix shall memorialize and record in hardcopy and digital form any and all Proprietary Technology necessary and useful for Eaucentrix to formulate, make, have made, and use the Proprietary Formula and the Proprietary Equipment. Mx. Xxxxxxxx shall be directly involved in the memorialization and recordation of the Proprietary Technology. Boon (and its representatives) shall have the right to assist, in person, Eaucentrix in its efforts.
Memorialization. This Settlement Agreement shall be deemed to be a memorialization of the settlement that was reached and placed on the record in court on April 28, 2005, before the Hxxxxxxxx Xxxx Xxxxx, and a transcript of the record of that settlement shall be enforceable as a “writing” under section 664.6 of the California Code of Civil Procedure.
Memorialization. The Parties hereby acknowledge that the purpose of this Agreement is to memorialize the resolution and to release all claims asserted by or which could have been asserted by and between the Parties and their employees, directors, officers, affiliated entities, subsidiaries, parents, assigns, agents, successors, predecessors, which arise out of or are in any way related to the Lease, Settlement Agreement, Litigation and Receivership.
