Maintenance Term. Licensor agrees to provide maintenance and support for the Latest Versions of the Software pursuant to the terms of this Part 2 during the Maintenance Term, provided the maintenance fee is fully paid and current and Licensee is also in full compliance and current with all of its other obligations under this Agreement. “
Maintenance Term. Customer may purchase Software Maintenance Services from SISW or an SISW affiliate for an initial annual maintenance term or such other time period that is acceptable to SISW. Thereafter, maintenance services will automatically renew for successive one (1) year terms unless terminated by either party by providing notice of termination in writing to the other party at least thirty (30) days prior to the expiration of the initial term or any renewal term. If Customer purchases additional Software licenses during the term of this Agreement, SISW reserves the right to adjust the annual maintenance term and pro rate the annual maintenance fees for such add-on Software to be coterminous with the initial Software maintenance term and billing cycle. Certain products and product groups are subject to different renewal terms and conditions as specified in the Product Specific Terms.
Maintenance Term. (09/17) The City’s obligation to pay for Maintenance commences on the date of expiration of the Product Warranty Period. The price for annual Maintenance is set forth in Exhibit A, Price. Where necessary, prices for Maintenance shall be pro-rated to ensure that Maintenance periods will co-term with this Contract.
Maintenance Term. Except where the relevant Letter Agreement or PO expressly provides otherwise, the Charges include a Maintenance Subscription for the first Maintenance Term, and the Maintenance Fee will be payable only for subsequent Maintenance Terms if and when taken up by Spark.
Maintenance Term. Licensee’s initial purchase of the Software license provided hereunder includes one (1) year of maintenance and support (the “Initial Support Term”). Following expiration of the Initial Support Term, Licensee may purchase continued Maintenance & Support in additional one (1) year terms (each, an “Extended Support Term”). Licensee and its Authorized Licensee Users may also continue using the Software pursuant to this Agreement without purchasing an Extended Support Term; however, Licensee will not receive support or upgrades to the Software without purchasing an Extended Support Term. AnyLogic’s fees for Maintenance & Support during an Extended Support Term are available upon request.
Maintenance Term. The term of this CMA includes a five-year initial optional term that TxDOT may extend by up to two additional five-year optional terms, in each case to be implemented at TxDOT’s discretion. The maximum term of this CMA, including all extensions thereof, is 15 years.
Maintenance Term. The Maintenance Term is the period of time during which Licensee is entitled to Updates and Support as described in Articles 7 and 8. Fixed Term Licenses always include maintenance in the Fixed Term Fee, so the Maintenance Term is the same as the Term: it starts on the Effective Date and continues until the license is terminated. For Perpetual Licenses, the Maintenance Term starts on the Effective Date and lasts through every paid Maintenance Period until Licensee chooses to terminate maintenance pursuant to Section 4.3 or the license itself is otherwise terminated. If the Maintenance Period is listed as DECLINED, no maintenance is included and the Licensee is treated as having immediately terminated maintenance per Section 4.3.
Maintenance Term. The initial term of each of the Support Services starts upon the date of Acceptance of the Software (the “Acceptance Date”) and continues for the period specified in the Proposal (“Initial Maintenance Term”). The Initial Maintenance Term shall automatically renew for the same duration as the Initial Maintenance Term (“Renewal Maintenance Term”) unless either Party gives written notice ninety (90) days prior to the end of the Initial Maintenance Term (or thereafter any Renewal Maintenance Term) of its intention to terminate. TOMIA shall Invoice for the Initial Maintenance Term or the Renewal Maintenance Term without the need for further approval (such as PO) from Customer. The Initial Maintenance Term and all subsequent Renewal Maintenance Terms are referred to in this License Agreement, collectively, as the “Maintenance Term”.
Maintenance Term. In consideration for the maintenance fees set forth in the Payment Schedule and pursuant to the provisions therein (hereinafter (“Maintenance Fees), the Contractor shall provide ISR with the Maintenance Services for a period of 5 (five) years beginning upon the end of the Conservation Term (hereinafter “ First Maintenance Term”), which shall be extended, at ISR’s sole discretion, for up to two additional terms of 5 (five) years each (hereinafter “Additional Maintenance Term(s)”), subject to provision of written notice to the Contractor of extension of Maintenance Services, at least 60 days before the beginning of the applicable Additional Maintenance Term (“ First Maintenance Term” together with the “Additional Maintenance Term(s)”, if extended, shall be referred to collectively above and below as “Maintenance Term”).
Maintenance Term. The term for Maintenance Services shall begin upon the date Client first uses the License and shall continue co-terminous with the Agreement.
