Limitation on Authority. A. The authority granted to Performing Agency by the System Agency is limited to the terms of the Contract.

Grantee shall not have any authority to act for or on behalf of the System Agency or the State of Texas except as expressly provided for in the Grant Agreement; no other authority, power, or use is granted or implied. Grantee may not incur any debt, obligation, expense, or liability of any kind on behalf of System Agency or the State of Texas.
Limitation on Authority. City retains its authority to execute all applications, Agreements and other documents relating to the Project. Contractor has no right or authority, express or implied, to commit or otherwise obligate City or any of its partners, except as permitted by the express terms of this Agreement, or as authorized in writing.

Except as expressly authorized herein or hereafter from time to time, Subadviser shall for all purposes be deemed an independent contractor and shall have no authority to act for or to represent Client or The Vantagepoint Funds in any way or otherwise to be an agent of Client or the Fund. The activities of Client and Subadviser in managing the assets of the Fund shall in all instances be conducted subject to the supervision and direction of the Board of Directors of The Vantagepoint Funds and in compliance with applicable laws and rules.

Service Provider may not incur any debt, obligation, expense or liability of any kind on behalf of TJJD or the State of Texas.
Limitation on Authority. Consultant shall not have any authority to obligate or bind the Company to any agreement, purchase or obligation of any kind without the express written approval of an officer of the Company.

The Contractor may not incur any debts, obligations, expenses, or liabilities of any kind on behalf of the State of Texas or the Department.

Representative shall not represent himself or herself as having any authority to obligate the Company in any way except as authorized by this Agreement or expressly authorized under the rules and regulations of the Company or as otherwise authorized in writing by the Company. Representative will not incur any indebtedness or any obligation on behalf of the Company, sign the name of, or sign on behalf of, Thrivent Investment Management Inc. or any of its subsidiaries or affiliates on any contract or lease, initiate legal proceedings in the name of the Company, or accept the service of process on behalf of the Company without written instructions from the Company to do so.
