Key Person. If at any time during the Commitment Period either of the Company’s CEO or CFO as of the Execution Date, resigns or is otherwise removed from office (except for cases of death or disability), then a liquidated damages charge of $25,000.00 will be assessed, in each case, and will become immediately due and payable to the Buyer in the form of cash payment. The liquidated damages charge in this Section 6.12 shall be in addition to, and not in substitution of, any of the other rights of the Investor under this Agreement.

In 1993 he was appointed to full professor of computer science at Xxxxxxx-Xxxxxxxx-University in Xxxx- xxxx, Germany. His research interests are in the field of human-machine-communication and multimedia information processing, covering areas such as speech and handwriting recognition, gesture recognition, face detection and identification, person tracking, image retrieval and video-indexing. Xx. Xxxxxx is a Se- nior Member of the IEEE and is the author and co-author of more than 150 papers in the field of pattern recognition, covering all the previously mentioned application areas. He serves as reviewer for the IEEE Transactions on Speech and Audio Processing, on Neural Networks, and on Pattern Analysis and Machine Intelligence and has served as session chairman and member of the programme committee for numerous international conferences. He has been involved in various ESPRIT projects, and has been active for the last 6 years as project reviewer in several different EU projects and as EU proposal evaluator in the 4th and 5th framework programmes since 1995. Key Person. The parties acknowledge that Xxxxx Xxxxxxxxx is integral to the successful performance of the Services by the Consultant under this Agreement. Key Person. Notwithstanding anything to the contrary above, (hereinafter referred to as “Key Person”) shall have day-to-day supervision of Artist’s account. During the term of this Agreement, Key Person shall be primarily responsible for Company's activities under this Agreement. Notwithstanding the foregoing, it is understood and agreed that Key Person may delegate day-to-day responsibilities to other employees of Company provided that Key Person remains primarily responsible for the activities and services provided by Company. Notwithstanding anything to the contrary contained herein, in the event that the Key Person shall cease to be employed by Company or shall cease to be primarily responsible for Company's activities hereunder (hereinafter referred to as "Key-Person Event"), Artist shall have the right to terminate this Agreement effective upon the date of Artist's notice to Company of such Key-Person Event, and for a period of one (1) month following such Key Person Event.
Key Person. 2.1. The Customer agrees to nominate a Key-Person, as the sole point of contact for all dealings with PMA. The Customer agrees by executing this Agreement that the Key Person has authority to bind the Customer and is entitled to make decisions on behalf of the Customer.

The Company shall notify S4C in writing of any matters or circumstances which could affect the availability of the Key Person promptly upon becoming aware of the same. No replacement for the Key Person shall be permitted to participate in the provision of the Services unless S4C has given its prior written approval of such replacement. If no replacement acceptable to S4C can be found, S4C shall be entitled by notice in writing to the Company to terminate this Agreement with immediate effect. In the event that the Key Person ceases to maintain any of the necessary Accreditatation to perform the Services S4C will have the right to terminate in accordance with clause 11.1.1.
