Key Person. The Company shall have procured and shall covenant to maintain “key man” life insurance (in amounts agreed to by the Representative and with the Company as the sole beneficiary thereof) with an insurer rated at least AA or better in the most recent edition of “Best’s Life Reports” on the lives of to be determined executive officer or officers of the Company.
Key Person. If at any time during the Commitment Period either of the Company’s CEO or CFO as of the Execution Date, resigns or is otherwise removed from office (except for cases of death or disability), then a liquidated damages charge of $25,000.00 will be assessed, in each case, and will become immediately due and payable to the Buyer in the form of cash payment. The liquidated damages charge in this Section 6.12 shall be in addition to, and not in substitution of, any of the other rights of the Investor under this Agreement.
Key Person. Prof. Dr.-Ing. habil. Xxxxxxx Xxxxxx obtained the Dipl.-Ing. degree from Stuttgart University in 1982. He joined the Fraunhofer-Institute in Stuttgart as a researcher in the department of advanced information and communication technologies and received the Dr.-Ing. degree in 1986 in the area of automatic speech recognition. From 1986 to 1988 he worked as postdoctoral fellow at IBM T.J. Xxxxxx Research centre in Yorktown Heights/USA on the IBM Xxxxxxx speech recognition system. He received the Dr.-Ing. habil. degree in 1991 from Stuttgart University with a thesis in speech synthesis. From 1991 to 1993 he worked as guest researcher in the framework of the EC Scientific Training Programme in Japan for the NTT Hu- man Interface Laboratories in Tokyo, in the area of neural networks and hybrid speech recognition systems. In 1993 he was appointed to full professor of computer science at Xxxxxxx-Xxxxxxxx-University in Xxxx- xxxx, Germany. His research interests are in the field of human-machine-communication and multimedia information processing, covering areas such as speech and handwriting recognition, gesture recognition, face detection and identification, person tracking, image retrieval and video-indexing. Xx. Xxxxxx is a Se- nior Member of the IEEE and is the author and co-author of more than 150 papers in the field of pattern recognition, covering all the previously mentioned application areas. He serves as reviewer for the IEEE Transactions on Speech and Audio Processing, on Neural Networks, and on Pattern Analysis and Machine Intelligence and has served as session chairman and member of the programme committee for numerous international conferences. He has been involved in various ESPRIT projects, and has been active for the last 6 years as project reviewer in several different EU projects and as EU proposal evaluator in the 4th and 5th framework programmes since 1995. Key Person. The parties acknowledge that Xxxxx Xxxxxxxxx is integral to the successful performance of the Services by the Consultant under this Agreement. It is acknowledged by the Consultant that Xxxxx Xxxxxxxxx will perform substantial portion of the Services, unless the Client otherwise consents in writing.
Key Person. Company and Consultant agree that the Services will be performed personally by Elon Place or his designee provided such designee is approved by the Company pursuant to Section 12.
Key Person. The Sub-Adviser shall promptly notify the Adviser if Xxxxx Xxxxxx is no longer active in the day-to-day management of and/or trading decisions for the Sub-Adviser.
Key Person. The General Partner will promptly notify all Limited Partners upon the occurrence of any Key Person Event. At the sole discretion of a majority of the Disinterested Board Members, TP Re may withdraw all or any portion of its Capital Account upon not less than four (4) months’ prior written notice; provided that TP Re shall have, prior to providing such withdrawal notice, granted the Investment Manager a reasonable opportunity to make a presentation to the Board regarding its capabilities to continue to manage the Partnership. Any such withdrawals will be paid in accordance with Section 3.6.
Key Person. Notwithstanding anything to the contrary above, (hereinafter referred to as “Key Person”) shall have day-to-day supervision of Artist’s account. During the term of this Agreement, Key Person shall be primarily responsible for Company's activities under this Agreement. Notwithstanding the foregoing, it is understood and agreed that Key Person may delegate day-to-day responsibilities to other employees of Company provided that Key Person remains primarily responsible for the activities and services provided by Company. Notwithstanding anything to the contrary contained herein, in the event that the Key Person shall cease to be employed by Company or shall cease to be primarily responsible for Company's activities hereunder (hereinafter referred to as "Key-Person Event"), Artist shall have the right to terminate this Agreement effective upon the date of Artist's notice to Company of such Key-Person Event, and for a period of one (1) month following such Key Person Event.
Key Person. 2.1. The Customer agrees to nominate a Key-Person, as the sole point of contact for all dealings with PMA. The Customer agrees by executing this Agreement that the Key Person has authority to bind the Customer and is entitled to make decisions on behalf of the Customer.
Key Person. The Company will make every reasonable effort to ensure that the Key Person remains employed and available to contribute to the provision of the Services throughout the Term. The Company shall notify S4C in writing of any matters or circumstances which could affect the availability of the Key Person promptly upon becoming aware of the same. If the Key Person is unavailable at any time during the Term the Company shall propose a suitable replacement to S4C in writing. No replacement for the Key Person shall be permitted to participate in the provision of the Services unless S4C has given its prior written approval of such replacement. If no replacement acceptable to S4C can be found, S4C shall be entitled by notice in writing to the Company to terminate this Agreement with immediate effect. In the event that the Key Person ceases to maintain any of the necessary Accreditatation to perform the Services S4C will have the right to terminate in accordance with clause 11.1.1.
