Key Person. The Company shall have procured and shall covenant to maintain “key man” life insurance (in amounts agreed to by the Representative and with the Company as the sole beneficiary thereof) with an insurer rated at least AA or better in the most recent edition of “Best’s Life Reports” on the lives of to be determined executive officer or officers of the Company.

Key Person. The parties acknowledge that ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ is integral to the successful performance of the Services by the Consultant under this Agreement. It is acknowledged by the Consultant that ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ will perform substantial portion of the Services, unless the Client otherwise consents in writing.

Key Person. 5.1 Name of individual the Company insists will provide the Services - particularly if the Agreement is with a legal entity or business will be assigned to perform all Services under this Agreement.

Thereafter, the Partnership shall not deliver a Capital Call Notice to fund any new Investments except for any Additional Investments, (i) without the approval of Limited Partners and Parallel Fund Limited Partners holding a majority of the Aggregate Commitments held by such Persons or (ii) until such time as a replacement Approved Executive Officer (or Approved Executive Officers, if applicable) selected by the General Partner is approved by the Advisory Board or Limited Partners and Parallel Fund Limited Partners holding a majority of the Aggregate Commitments held by such Persons, in each case, within 180 days after the occurrence of such Cessation Event (such approval, “Continuing Investment Approval” and the period of time from the date of the Cessation Event until the receipt of Continuing Investment Approval, if any, the “Suspension”). To the extent Continuing Investment Approval is obtained within such 180- day period, the Investment Period shall be extended by the length of the Suspension.

Key Person. Company and Consultant agree that the Services will be performed personally by Elon Place or his designee provided such designee is approved by the Company pursuant to Section 12.

He joined the Fraunhofer-Institute in Stuttgart as a researcher in the department of advanced information and communication technologies and received the Dr.-Ing. degree in 1986 in the area of automatic speech recognition. From 1986 to 1988 he worked as postdoctoral fellow at IBM T.J. ▇▇▇▇▇▇ Research centre in Yorktown Heights/USA on the IBM ▇▇▇▇▇▇▇ speech recognition system. He received the Dr.-Ing. habil. degree in 1991 from Stuttgart University with a thesis in speech synthesis. From 1991 to 1993 he worked as guest researcher in the framework of the EC Scientific Training Programme in Japan for the NTT Hu- man Interface Laboratories in Tokyo, in the area of neural networks and hybrid speech recognition systems. In 1993 he was appointed to full professor of computer science at ▇▇▇▇▇▇▇-▇▇▇▇▇▇▇▇-University in ▇▇▇▇- ▇▇▇▇, Germany. His research interests are in the field of human-machine-communication and multimedia information processing, covering areas such as speech and handwriting recognition, gesture recognition, face detection and identification, person tracking, image retrieval and video-indexing. ▇▇. ▇▇▇▇▇▇ is a Se- nior Member of the IEEE and is the author and co-author of more than 150 papers in the field of pattern recognition, covering all the previously mentioned application areas. He serves as reviewer for the IEEE Transactions on Speech and Audio Processing, on Neural Networks, and on Pattern Analysis and Machine Intelligence and has served as session chairman and member of the programme committee for numerous international conferences. He has been involved in various ESPRIT projects, and has been active for the last 6 years as project reviewer in several different EU projects and as EU proposal evaluator in the 4th and 5th framework programmes since 1995. In 2001, ▇▇▇▇. ▇▇▇▇▇▇ has been offered the position of heading the institute for Human-Machine Communication of Technische Universita¨t Mu¨nchen (TUM) and will join TUM in early 2002.

Key Person. The parties acknowledge that although the Town is contracting with the Firm, that ▇▇▇▇▇ ▇▇▇▇▇▇▇, Esq. has been appointed as the Planning and Zoning Board’s Attorney and that except for extraordinary circumstances, ▇▇▇▇▇ ▇▇▇▇▇▇▇, Esq. shall be the attorney present at all regularly scheduled Planning Board meetings and will be available to provide advise and counsel as described in this agreement. If for any reason ▇▇. ▇▇▇▇▇▇▇ is unable to attend a meeting or be available to provide said services, the parties agree that ▇▇▇▇▇▇ ▇▇▇▇▇▇▇, Esq. will take her place.
