JCC. In the event FivePrime initiates the Co-Promotion Term pursuant to Section 7.2, within a timeframe to be set forth in the Co-Promotion Agreement, the JDC will establish a Joint Commercialization Committee (“JCC”), which shall serve largely as an advisory and information-sharing body for the purpose of coordinating the Parties’ Co-Promotion activities, with HGS’ representatives on the JCC having final decision making authority in the event of any dispute between the Parties. The responsibilities and operations of the JCC shall be set forth in the Co-Promotion Agreement. Prior to any establishment of the JCC, HGS shall keep FivePrime informed of the market potential for the Product, as well as the planned activities and strategies for the pre-launch activities for, and the Commercialization of, any Product in the Licensed Territory, through the Alliance Managers or other forum to be agreed upon by the Parties.
JCC. The JCC shall be formed promptly after the Effective Date and shall have the responsibilities set forth in Schedule 7.2 attached hereto.
JCC. Decisions by the JCC shall be by consensus, and any disputes shall be escalated to the JSC, except that each Party shall have final decision-making authority on decisions specific to territories where such Party is leading Commercialization of a CoDev Product, subject to compliance with the Global Commercialization Strategy and Global Commercialization Agreement; 48 Portions of the exhibit, indicated by the xxxx “[***],” were omitted and have been filed separately with the Securities and Exchange Commission pursuant to the Registrant’s application requesting confidential treatment pursuant to Rule 24b-2 of the Securities Exchange Act of 1934, as amended. JCC. Once established, unless otherwise agreed, the JCC shall meet in person [***] at Immunocore’s facilities in [***] or GNE’s facilities in [***], or via telecon or otherwise. Where possible meetings will be held by telephone conference with [***] meeting per year being face to face unless otherwise agreed by the JCC.
JCC. Each Party will discuss and attempt to resolve any potential or evolving disagreement related to the Commercialization Plan through their respective JPT members before it is brought before the JCC. Each Party’s designees on the JCC shall, collectively, have [***] Party Vote on all matters brought before the JCC. The JCC shall operate as to matters within its responsibility by [***] Party Vote. If during the Term the JCC is unable, after good faith efforts and with involvement of the Alliance Managers, to achieve [***] Party Vote on any issue, such issue shall be referred to the Executives. Certain confidential information contained in this document, marked by [***], has been omitted because it is both (i) not material and (ii) is the type that the registrant treats as private or confidential.
JCC. Upon filing of an NDA in the United States for a Licensed Product hereunder, the Parties shall establish the JCC, comprised of three (3) JCC Representatives designated by Alnylam and three (3) JCC Representatives designated by Medtronic, each of which JCC Representatives shall be of the seniority and experience appropriate for service on the JCC in light of the functions, responsibilities and authority of the JCC. The JCC shall be responsible for overseeing Commercialization activities of the Parties with respect to Licensed Product in the United States. Subject to Sections 2.2(c) and 2.4 below, the JCC shall meet at least quarterly until the end of the last-to-expire Royalty Term for a Licensed Product in the United States.

JCC. “JCC” means the Joint Commercialization Committee established in accordance with Section 3.4 (Joint Commercialization Committee (JCC)).
JCC. The Operator and MAFFFL shall cause the constitution of the Joint Coordination Committee (‘JCC’) on or before the commissioning of the Integrated Facility. The JCC shall hold its first meeting within 60 days of the commissioning of the Integrated Facility. The constitution, role and responsibility, and decision making of the JCC will be on the terms as set out in Exhibit 4 hereto. The Supplier shall in addition ensure, by their contracts, that the Air Carrier and Into Plane Agent with whom they have contracted, participate in the JCC as its constituent members and that such Air Carriers and Into Plane Agents shall ensure due compliance with all the decisions of the JCC.
JCC. In the event the Parties enter into a co-commercialization agreement pursuant to Sections 6.9 or 6.10.2, the Parties will establish a joint commercialization committee (“JCC”) within [***] of the initiation of the first Clinical Study expected to be the basis of Regulatory Approval with respect to a Combination Product or Joint Development Radioconjugate in the Territory, to serve as a forum through which the Parties will strategize and coordinate the Commercialization of Combination Products and Joint Development Radioconjugates. The JCC will consist of [***] senior management representatives appointed by Fusion and [***] senior management representatives appointed by AstraZeneca. As reasonable and appropriate, other employee representatives or agents of the Parties may attend JSC meetings as non-voting observers or presenters. Each Party will be responsible for the costs of its own employees or consultants attending JCC meetings.
