Implied Rights Sample Clauses

The Implied Rights clause defines the extent to which rights not expressly stated in a contract may or may not be assumed by the parties. Typically, this clause clarifies that only the rights explicitly granted in the agreement are recognized, and no additional rights are implied by silence or omission. For example, if a contract grants a license to use software but does not mention the right to modify it, the Implied Rights clause would prevent the licensee from assuming such a right exists. This clause serves to ensure clarity and prevent disputes by limiting the parties' rights strictly to those that are clearly articulated in the contract.
