Implementing Documents. The Parties shall cooperate in good faith to prepare, as soon as practicable after the date hereof, such documents as are required to effectuate the transfers and transactions referred to in Sections 2, 3 and 4. The Parties shall use their best efforts to cause any direct or indirect subsidiary of a Party to enter into such transactions and to execute and deliver such instruments or other documents as shall be necessary to consummate the transactions contemplated by this Agreement (provided, however, that neither LBHI nor Bancorp shall be responsible to cause Aurora or any subsidiary of Aurora to consummate the transactions contemplated by this Agreement).

Implementing Documents. The parties will pursue good faith ---------------------- negotiations and analysis to enter into amendments to the existing Dermagraft Agreements, in order to implement and to carry out the purposes and intentions of this Agreement. In the meantime, any conflict or inconsistencies between the terms of this Agreement and the terms of the Dermagraft Agreements (or the Heads of Agreement between ATS and S&N dated as of January 14, 1998), shall be controlled by the terms of this Agreement.
Implementing Documents. 140 These plans take into account the Tender Specifications and technical provisions, the design drawings of the project developer and general architecture plans, stability plans, and special techniques plans annexed to these Tender Specifications. §141 All implementation plans and detail plans are to be submitted for approval to the contracting authority along with calculation notes, technical approvals, and technical forms and in particular those related to the works and the equipment listed below (non- exhaustive list):
Implementing Documents. Upon the expiration of the Due Diligence Period, or the period covered by the Development Agreement referenced in Section 6 above, the Parties intend for Developer to convey to the City those elements of the Memorial Block that the City does not already own, and for the City (a) to ground lease to Developer those portions of the Memorial Block that are to be redeveloped, and/or (b) to establish other legal structure(s) that the Parties determine to be appropriate and in the best interests of the Project and the mutual best interests of each Party (collectively, “Implementing Documents”). In making such a determination, the Parties recognize that an appropriate legal structure for the Project may be one in which the City maintains ownership of all or a portion of the land using a mechanism other than a ground lease, and each Party shall act in good faith to consider the interests of the other Party. If the Parties determine that the Project is viable and that they desire for Developer to proceed to obtain Project Permits and work towards the construction of the Project and the relocation of the CFS to a new public safety facility, the City would prepare a draft ground lease for review and approval by Developer, and Developer would prepare drafts of the other Implementing Documents for review and approval by the City, in each case with the intent of drafting documents which, upon execution, would deliver site control to Developer. The City’s execution of the Implementing Documents will require authorization from the Burlington City Council, and if authorization is granted it would be conditioned on Developer’s conveyance of real property to the City, if required by the Implementing Documents, in the manner contemplated by this Agreement. The Parties anticipate that the Implementing Documents would include, without limitation, the following concepts:

On the Issuance Closing, the applicable Parties shall deliver (i) counterparts to the Onshore IP Transfer Agreement(s), duly executed by the applicable Onshore Stage 1 Retained IP Transferors and the applicable Onshore Stage 1 Retained IP Transferees party thereto, and (ii) counterparts to the applicable Offshore IP Transfer Agreement(s) in substantially the form attached as Part 1 or Part 2 of Exhibit I to the 2014 SAPA (as amended on February 1, 2018), duly executed by the relevant Offshore Stage 1 Retained IP Transferors and Offshore Stage 1 Retained IP Transferees party thereto (or in the case of an Offshore IP Transfer Agreement in the form attached as Part 2 of Exhibit I to the 2014 SAPA (as amended on February 1, 2018), the relevant Affiliates of the Seller and the Purchaser). As soon as reasonably practicable following the Issuance Closing, the applicable Parties shall deliver counterparts to the Onshore IP Ancillary Short-Form Agreement in substantially the form ​ ​ ​ attached as Exhibit H to the 2014 SAPA (as amended on February 1, 2018), duly executed by the applicable Onshore Stage 1 Retained IP Transferors and the applicable Onshore Stage 1 Retained IP Transferees party thereto.

All implementation plans and detail plans are to be submitted for approval to the contracting authority along with calculation notes, technical approvals, and technical forms and in particular those related to the works and the equipment listed below (non-exhaustive list): - Upgrade foundations in view of works planned - Stability: plans for slabs, posts and beams, stairs, or any prefabricated component - Sealing - Finishing of rooms (walls, floor, and ceiling) - Inside and outside drainage - List of stones - Roof covering, roof carpentry - Façades - Partition walls - False ceilings - Furniture based on tender documents - Lights layout plan - Plan of metal joinery (banisters, handrails, gangway, porch) - List of inside joinery Plan of special techniques The managing official may refuse technical forms which are partial, incomplete, or too commercial and do not provide the technical information required for assessment and approval. Samples of ironware, heating, electricity or plumbing fixtures or any similar pieces will be submitted for approval to the managing official and for advice to the project developer's and the approved model will remain on the construction site until the placement of the last piece of its kind. At the request of the contracting authority, the building contractor will also provide the following documents during the performance period: • Samples of materials proposed corresponding to the technical forms, • Colour shade cards to determine the choice of colours, • Test reports, technical manuals, technical approvals, technical forms, etc., • Products or equipment used for this contract.
Implementing Documents. 27.1 To the extent any Implementing Document is not in Agreed Form as at the date of this Agreement, the Parties shall negotiate in good faith and agree Agreed Form of Implementing Document in each case no later than date specified in the column labelled "Agreed Form Date" in the table set out in Schedule 8 (Implementing Documents), unless otherwise agreed by the Parties.
