The "Holding Out" clause defines the prohibition against a party falsely representing themselves as having authority, affiliation, or endorsement that they do not possess. In practice, this clause prevents individuals or entities from misleading third parties by suggesting they are acting on behalf of, or are officially connected to, another party when they are not. For example, an employee may not claim to represent the company in negotiations unless explicitly authorized. Holding Out. Lessee agrees that it will not at any time represent or hold out the Lessor, the Agent or any Affiliate of any of them (and will use its best efforts to ensure that none of the Lessor, the Agent, any Lender or any Affiliate of any of them is not at any time represented or held out) as being in any way connected or associated with any operation of the Airframe, any Engine or any Part or any other operations or carriage undertaken by Lessee.
