Grant; Limitations. Subject to the observance by Customer of the terms and conditions of this Agreement, AvePoint hereby grants to Customer and Customer hereby agrees to pay for a non-exclusive, non-transferable (except as set forth in Section 12.5) license to use the Licensed Property as set out in the applicable Order solely for Customer’s Internal Use in accordance with the terms set forth on the applicable Addendum hereto and the applicable Documentation delivered with the Software (the “License”).
Grant; Limitations. The Committee may at any time impose any other limitations upon the exercise of SARs which, in the Committee’s sole discretion, are necessary or desirable in order for Grantees to qualify for an exemption from Section 16(b) of the Exchange Act.

Grant; Limitations. The Plan is established voluntarily by the Company and it is discretionary in nature. Participation in the Plan is voluntary. This grant and any other awards under the Plan are voluntary and occasional and do not create any contractual or other right to receive future awards or benefits in lieu of any awards, even if similar awards have been granted repeatedly in the past. This grant and the underlying Shares, and any income derived from them, are not paid in lieu of and are not intended to replace any pension rights or compensation and are not part of normal or expected compensation or salary for any purposes, including calculating any termination, severance, resignation, redundancy, dismissal, end of service payments, bonuses, long-service awards, life or accidental insurance benefits, pension or retirement or welfare benefits or similar payments.
Grant; Limitations. GEDCO shall not be obligated to pay any commercial bank, lender or similar institution for any loan or credit agreement made by Company. None of the obligations of GEDCO under this Agreement shall be pledged or otherwise encumbered in favor of any commercial lender and/or similar financial institution.
Grant; Limitations. The Committee may at any time impose any other limitations or Restrictions upon the exercise of SARs that it deems necessary or desirable in order to achieve desirable tax results for the Grantee or the Company.
Grant; Limitations. XXXXX grants to the District a nontransferable, nonexclusive license during the Term to use the software and documentation for District data operations. The District will not disclose or make available any software or documentation associated with this Agreement to any parties or persons not using the same on behalf of the District. Nor will the District change, modify or alter any software without prior written permission from XXXXX. In short, the district agrees that it shall safeguard all proprietary materials being serviced by WSIPC and shall not infringe on or violate any vendor license agreements WSIPC has entered into on their behalf. If a vendor working on behalf of the district needs access to data or software provided by XXXXX, the vendor will be required to sign a Non‐Disclosure Agreement with XXXXX.

Subject to the ob- servance by Customer of the terms and conditions of this Agreement, AvePoint hereby grants to Customer and Customer hereby agrees to pay for a non-exclu- sive, non-transferable (except as set forth in Sec- tion 12.5) licence to use the Licensed Property as set out in the applicable Order solely for Customer's Inter- nal Use in accordance with the limitations as set forth on the applicable Addendum hereto and the applica- ble Documentation delivered with the Software (the “Licence”). Customer may copy, modify, and create derivative works based upon the Licensed Property solely (i) for the use of the Licensed Property in accordance with contractual purposes, or (ii) for trouble shooting if, de- spite a written request by Customer, AvePoint has not offered to rectify the defect within a reasonable period of time and on reasonable terms, or, if Customer has accepted a corresponding offer by AvePoint, AvePoint has not begun to rectify the default within a reasona- ble period of time and after a deadline set by Cus- tomer; provided, that, any such modifications and/or derivative works shall be Licensed Property subject to the terms and conditions of this Agreement.
