Grant Awards. Nothing contained herein shall prevent employees from pursuing and accepting external grant funding. Grand funded activities will be performed outside of contractual obligations.

Grant Awards. Grant Awards are attached hereto as Exhibit D. Exhibit A Statement of Work The AAA shall provide the following services, as specified in the AAA’s current area plan, either directly or through administrative oversight or subcontractors. The AAA shall comply with all applicable state and federal statute and rules, including but not limited to the United States Code, the Code of Federal Regulations, the Revised Code of Washington, the Washington Administrative Code, Federal Program Waivers for COVID-19, and any and all DSHS/ALTSA standards, guidelines, policy manuals, and management bulletins, including management bulletins that grant temporary COVID-19 flexibilities. If a proposed change or combination of changes in any DSHS/ALTSA standard, guideline, policy manual and/or management bulletin after the commencement of this agreement creates a new and material impact, to the extent possible and as quickly as possible DSHS will consult with the AAA or its professional association to identify potential impacts and when possible, identify how to mitigate impacts within available funding. Due to COVID-19 pandemic impacts, disaster relief, and recovery efforts, many of the programs and requirements in this statement of work have been granted flexibilities as a result of Federal program waivers approved by Centers for Medicare and Medicaid, in management bulletins and rapid emergency response communications between AAAs and ALTSA in early 2020. ALTSA and the AAAs have been operating in close partnership and frequent communication under extraordinary circumstances that require frequent adaptation to meet the needs of Washingtonians. Some requirements for the services in this contract may continue to be relaxed, suspended, or achieved by alternate methods during the COVID-19 emergency and recovery period. Communications issued via email may be used to document flexibilities and do not require a contract amendment.
Grant Awards. Agency must submit a Fiscal Year 2014 Statement of Revenues and Expenditures for all grant awards being funded by the Board. Agency has the discretion of increasing or decreasing individual revenue and expenditure line items by no more than 10% of the original Board approved budget assuming no changes are being made to the total net award amount or to the outcomes associated with the program. If the Agency wishes to make a greater than 10% (either increase or decrease) in individual line items, the Agency must submit the proposed individual line items changes by no later than April 1, 2014. Prior Board approval is required.
Grant Awards. All grant applications submitted to any Governmental Authority for grants that were ultimately awarded to the Company complied in all material respects with the respective grant application requirements at the time when such grants were awarded. The execution and delivery by the Company of this Agreement, the performance by the Company of its obligations hereunder and thereunder and the consummation by the Company of the transactions contemplated hereby and thereby will result in the Company no longer being eligible to draw, or request reimbursement, on the unused portions of awards for the currently effective grants that have not been fully drawn down, and the Company will have the obligation to close such grants following the Closing Date. The monies that have been awarded under the current grants have been drawn down by the Company on the reimbursement method. The Company is not obligated to refund any monies draw down on any of the grant awards, reimburse any such granting entity for grant monies previously expended and the Company has no other liabilities, excluding such liabilities as may arise from the Company’s obligations to continue compliance with applicable Law, including the Bxxx-Xxxx Act, following the Closing Date, with respect to any such grants (collectively, the “Grant-Related Liabilities”). All funds received by the Company from such grants have been used for the purposes and in accordance with the budgets and/or terms approved in the respective award letters. The Company has complied in all material respects with the applicable provisions of the Bxxx-Xxxx Act with respect to any Company Intellectual Property conceived or first actually reduced to practice in the performance of work under any grants awarded to the Company from the National Institute of Health which that would not have a Company Material Adverse Effect on the Business.
Grant Awards. Subject to and effective upon approval by the Administrative Committee of the Compensation and Management Development Committee of the Enron Corp. Board of Directors (the "Committee"), after the Agreement has been executed and becomes effective, Employee shall receive the grants described below. The grants shall be made pursuant to the Enron Corp. 1994 Stock Plan (the “Stock Plan”) as determined by the Committee, and shall be in the form of written agreements approved by the Committee. Geographic Region «GeographicRegion» of Responsibility: Period of Post-Employment Non-Competition Obligations and Non-Solicitation of Customers: Employee’s obligations in paragraph 3.4, Non-Competition Obligations, and paragraph 3.5, Non-Solicitation of Customers, shall survive the termination of employment and extend through the latest of the following dates, whichever is applicable: (a) Twelve (12) months after Employee’s voluntary termination of employment if such termination occurs during the Term; or (b) Six (6) months after the last date of Employee’s employment with ENA in the event of an involuntary termination with or without cause during the Term; or (c) Three (3) months after Employee’s termination of employment for any reason if such termination occurs after the Term. Grant Awards. As a recipient of a grant from CPRIT or other grantor, CTNeT is required to comply with the terms of its granting contract from CPRIT or such other grantor. Research Site agrees to reasonably cooperate with CTNeT’s compliance requirements, including providing documentation necessary to evidence compliance with the terms of the applicable grant. Such documentation may include: (1) a statement of the progress made on any particular Study; (2) an inventory of any equipment purchased with CTNeT funding; and
