Goods/Services. Check here if an exhibit, offer, proposal or other similar document (collectively, "Attachment") is being added as part of this Agreement. Any such Attachment: (i) should be described above in this Section 2 and attached to this Agreement; and (ii) is hereby incorporated by reference. In the event of any inconsistency between the Attachment and this Agreement, or any other similar document of Contractor and this Agreement, this Agreement will prevail.

Goods/Services. 3.1 The Goods or Services are as described in any technical documents, Specifications, Quotations, Service Workstream Documents, Proposals catalogues or in respect of the Customers briefs, specifications or clear instructions. 3.2 To the extent that the Goods or Services are to be undertaken in accordance with a Specification the Customer shall indemnify the Supplier against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal and other professional costs and expenses) suffered or incurred by the Supplier in connection with any claim made against the Supplier for actual or alleged infringement of a third party's Intellectual Property Rights arising out of or in connection with the Supplier's use of the Specification. This clause 3.2 shall survive termination of the Contract. 3.3 The Supplier reserves the right to amend the Specification if required by any applicable statutory or regulatory requirement or government interventions or if additional information not provided at the time of the Quotation.

Goods/Services. 2.1 The Subcontractor shall supply the Goods and / or perform the Services (as the case may be) in accordance with this Agreement. The Subcontractor shall carry out all of its obligations under this Agreement, supply the Goods and / or perform the Services (as the case may be) with all due skill, care and diligence and with the skill to be expected of a reputable Subcontractor experienced in the supply of Goods and/or performance of Services as required by the terms of this Agreement. 2.2 Time is of the essence and Subcontractor undertakes to supply the Goods and/or perform and complete the Services (as the case may be) in accordance with the date(s) specified in the Purchase Order and where no date is specified, timeously in the sole opinion of the Contractor.

Goods/Services. Vendor represents and warrants that (i) all Services shall be completed in a professional, workmanlike manner, with the degree of skill and care that is required by current, good and sound professional procedures; (ii) it has all required permits, authorizations and licenses to perform the Services; (iii) all Goods provided have been produced and all Services performed are in compliance with applicable federal, state and local laws, ordinances, codes, rules, regulations or standards, including without limitation, applicable data protection and/or privacy laws, rules and/or regulations, employment, tax, export control and environmental laws; and (iv) it has procedures and policies in place to ensure all Vendor Assistants are in full compliance with the terms and conditions of this Agreement. Further, Vendor represents and warrants that the Services shall be completed in accordance with applicable specifications and shall be correct and appropriate for the purposes contemplated in this Agreement.
