Good Practices. (1) The Parties jointly adopt the Good Practices as illustrated in Annex 1 hereto.

Good Practices. All preclinical and clinical studies involving Compounds will be conducted in accordance with current good laboratory practices (GLP) as specified by the applicable laws and regulations in the relevant country at the time of such laboratory research; good clinical practices (GCP) as specified by the applicable laws and regulations in the relevant country at the time of such studies, and that the Development Compounds will be manufactured in accordance with current good manufacturing practices (GMP) as specified by the applicable laws and regulations of the relevant countries at the time of manufacture; and

Neither the Company nor Sellers have conducted or initiated any internal investigation, received any complaint or other internal or external reports, complaints or allegations, or made voluntary, direct, or involuntary disclosure to any Government Authority in connection with any act of omission relating to any bribery, bribery, illegal payment, corruption or failure to comply with any Anti-Corruption Law. Neither the Company nor Sellers and, to the best knowledge of Sellers, none of the representatives of the Company or Sellers, has received any notice, request or service, is part of any administrative, civil or criminal proceedings, or has been convicted or pleaded guilty to any current or potential non-compliance with matters contained in the first part of this item
