Global Access. The Company and the Institute jointly and severally agree to conduct and manage the Project and the resulting products, services, processes, technologies, materials, software, data or other innovations (collectively, “Product”) and any IP that arises (New IP) in the manner that ensures “ Global Access.” Global Access requires that The knowledge and information gained from the Project be promptly and broadly disseminated or published. Project Developments and/or New IP are made available and accessible at an affordable price to people most in need within developing countries. In this regard, ensure Global Access in all present and future research and development agreements in a suitable form.
Global Access. Each Payor acknowledges that it is UBC’s objective to exploit its technology for the public benefit and in a manner that furthers its Global Access Principles.
Global Access. The Parties to this Agreement and the JV recognize and understand that funds provided for the research and development of inventions contemplated within the SOW as referenced in Appendix A are provided as a gift to SEEDR from the ▇▇▇▇ and ▇▇▇▇▇▇▇ ▇▇▇▇▇ Foundation (hereinafter referred to as the "BMGF”) As a result, the Parties hereby agree to abide by the guidelines and provisions of Global Access and Conflicts of Interest as further described in Appendix B attached hereto.
Global Access. Subject to the controls below, Navitaire may access the Customer Personal Data from locations other than the facility where the Customer Personal Data is stored, unless otherwise mutually agreed by the Parties.
Global Access. Royalties shall not be due to M.I.T. on NET SALES made at a COST BASED PRICE in DEVELOPING COUNTRIES. As used in this subsection, the term “COST BASED PRICE” shall mean, in respect of each LICENSED PRODUCT, a price not exceeding that which fairly reflects the direct cost of manufacture of such LICENSED PRODUCT plus a typical margin for a generic pharmaceutical product for the respective market (i.e., priced to enable availability and accessibility to people most in need), as will be mutually agreed by the parties.
Global Access. After First Commercial Sale, within twelve (12) months of University’s request, Company agrees that Licensed Product will be offered for sale in any specified LDC(s) (as defined below in this Section 2.H) at a price that is equal to Licensed Entity’s actual cost to manufacture and distribute such Licensed Products. If Licensed Entities are unable or unwilling to offer for sale Licensed Products in such LDC(s), University hereby reserves the right to license the Licensed Patents to any third parties for solely Humanitarian Purposes (as defined below in this Section 2.H). Such licenses for Humanitarian Purposes will expressly exclude the right of the third party licensee to export or sell the Licensed Product(s) from an LDC into a market outside of the LDC(s) where a Licensed Entity has introduced, or will introduce a Licensed Product, or where a Licensed Patent exists. In any such license, the third party licensee’s commercial use of the Licensed Patents to make, use, sell, offer for sale and import Licensed Products into the specified LDC(s) for Humanitarian Purposes will be Royalty- free and the third party licensee will be required to provide to the LDC(s) the Licensed Products at cost or below cost. For avoidance of doubt, the third party licensee may be permitted to export Licensed Products from the LDC(s) of origin into other countries mutually agreed to by University and Company.
Global Access. After First Commercial Sale, Company and University will cooperate to provide Licensed Products to LDC(s) (as defined below in this Section 2.E), which cooperation may include, subject to reasonable commercial efforts, efforts to promote contracting with governmental or nongovernmental agencies (e.g., WHO or UNICEF) for the provision of Licensed Products into LDC(s). If Company or its Licensed Entities provide Licensed Product into LDC(s) under arrangements providing such product at or below the cost of production and shipping, then University agrees to waive all Royalties and fees otherwise due under this Agreement solely with respect to Net Sales of such Licensed Product in such LDC(s). If Company is not providing Licensed Product into LDC(s) for sale at or below the cost of production and shipping, and University determines in its reasonable discretion that licensing a Qualified Licensee (as such term is defined below in this Section 2.E) will provide improved access to Licensed Products in LDC(s) at or below the cost of production and shipping, then Company agrees that it shall Sublicense the Licensed Patents, in an agreement made jointly among University, Company, and the Qualified Licensee. Such Sublicense shall be without compensation or royalty for either Party, and shall be restricted to Humanitarian Purposes ( as described below in this Section 2.E).
Global Access. The Parties agree to discuss in good faith implementation of joint strategic programs and policies to enable broader access throughout the world to Collaboration Products on a humanitarian basis.
Global Access. You understand and acknowledge that the Foundation is making the grant in furtherance of its charitable purposes. As a condition to making the grant, the Foundation requires that you will use good faith efforts to conduct and manage the research, product development, technologies and innovations involved in this grant in a manner that enables (a) the knowledge gained during the project to be promptly and broadly disseminated to the scientific community, subject to a limited delay to seek intellectual property protection if such protection would best facilitate the achievement of the project’s charitable objectives and (b) the intended product to be made accessible (with respect to cost, quantity and applicability) to the people most in need within the developing countries of the world. The Foundation refers to this as Global Access.
