Further Protection. The Pledgor will promptly give notice to the Secured Party of, and defend against, any suit, action, proceeding or lien that involves Posted Credit Support Transferred by the Pledgor or that could adversely affect the security interest and lien granted by it under Paragraph 2, unless that suit, action, proceeding or lien results from the exercise of the Secured Party’s rights under Paragraph 6(c).
Further Protection. Seller will promptly give notice to Buyer of, and defend against, any suit, action, proceeding or lien that involves Performance Assurance transferred by Seller or that could adversely affect the security interest and lien granted by it hereunder, unless that suit, action, proceeding or lien results from the exercise of Buyer’s rights.

Further Protection. The Chargor will promptly give notice to the Secured Party of, and defend against, any suit, action, proceeding or lien that involves Posted Credit Support transferred by the Chargor or that could adversely affect the security interest granted by it under Paragraph 2.
Further Protection. At the reasonable request of Licensor and at Licensor's sole expense, Licensees will execute any papers or documents necessary to protect the rights of Licensor in the Licensed Marks and execute and deliver the other documents as may be reasonably requested by Licensor.
Further Protection. In acting hereunder, the Collateral Agent shall be entitled to the same rights, indemnities and immunities as afforded to it under the Intercreditor Agreement.

The Grantor warrants and forever shall defend the title to the Contract Rights against the claims and demands of any Person other than the Collateral Agent and the Secured Parties, and hereby grants the Collateral Agent full power and authority, upon the occurrence and during the continuance of a Trigger Event, to take all actions as the Collateral Agent, acting pursuant to the Intercreditor Agreement, or as otherwise expressly provided herein, reasonably deems necessary or advisable to effectuate the provisions set forth in this sentence.

The Partnership warrants and forever shall defend the title to the Contract Rights against the claims and demands of any Person and hereby grants the Collateral Agent full power and authority, upon the occurrence or during the continuance of a Trigger Event to take all actions as the Collateral Agent reasonably deems necessary or advisable to effectuate the provisions set forth in this sentence.
Further Protection. Counterparty will promptly give notice to TPG of, and (i) defend against (if related to Counterparty’s acts or omissions in connection with the Agreement, the Transaction or this Annex being unauthorized or breaching any third party rights) or (ii) cooperate in the defense of without any expense to Counterparty (in any other case), any suit, action, proceeding or Encumbrance that involves the Collateral or that could adversely affect the security interest and lien in favor of TPG granted under Paragraph 2(b).
