Further Efforts. Throughout the Initial Term of this Agreement, Lessor shall use its best efforts to obtain and maintain in force all licenses, permits and authorizations required for Lessee and Lessor to use the ITFS Channels as contemplated by this Agreement. Lessee shall be responsible for all cash expenses incurred to obtain and maintain in force such licenses, permits and authorizations. When mutually agreed by the parties and at Lessee's sole expense, Lessor shall apply for, and use its best efforts to obtain those reasonable license modifications which would assist Lessee in its business. Lessor also shall consider filing, at Lessee's sole expense, such reasonable protests, comments or other petitions to deny any other ITFS, MMDS, MDS and/or OFS applications or amendments as may be requested by Lessee in the mutual best interests of the parties and the public. Lessor and Lessee shall promptly notify each other of any event of which it has knowledge that may affect any of the licenses, permits or authorization affecting the ITFS Channels.

Further Efforts. Each party hereto shall do and perform or cause to be done and performed, without further consideration, all such further acts and things and shall execute and deliver all such other agreements, certificates, instruments, and documents as the other party may request in order to carry out the provisions of this Agreement and to consummate the transactions contemplated hereby.

Stockholder shall use its reasonable best efforts to take, or cause to be taken, all actions, and to do, or cause to be done, and to assist and cooperate with other Persons in doing, all things necessary, proper or advisable to consummate the transactions contemplated by the Merger Agreement in the most expeditious manner practicable.

Each Holder shall do and perform or cause to be done and performed, without further consideration, all such further acts and things and shall execute and deliver all such other agreements, certificates, instruments, and documents as the Company may request in order to carry out the provisions of this Agreement and to consummate of the transactions contemplated hereby.

(a) QuadraMed agrees to use reasonable efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable laws and regulations to consummate and make effective the Mergers and the other transactions contemplated hereby in accordance with the terms of this Agreement. In case at any time any further action is necessary or desirable to carry out the purposes of this Agreement, QuadraMed will use reasonable efforts to effectuate all such action.

Each of the parties to this Agreement shall use its reasonable best efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable under applicable law or otherwise to consummate and make effective the transactions contemplated by this Agreement (which for purposes of this Section 16 shall be deemed not to include the proposed EDFI Transactions) and to effectively carry out or better evidence or perfect the full intent and meaning of this Agreement.
Further Efforts. Each of the parties to this Agreement shall: (i) promptly make any filings required by them or any of their subsidiaries, and thereafter make any other submissions required under all applicable Laws with respect to the transactions contemplated hereby and by the other Operative Agreements; and (ii) use commercially reasonable efforts to promptly take, or cause to be taken, all other actions and do, or cause to be done, all other things necessary, proper or appropriate to consummate and make effective the transactions contemplated by this Agreement and the other Operative Agreements. In addition, in the event of any Action relating hereto or to the transactions contemplated by this Agreement and by the other Operative Agreements, the parties to this Agreement agree to cooperate and use commercially reasonable efforts to defend against and respond thereto.
Further Efforts. While this Agreement is in effect, Lessor shall use his best efforts to obtain and maintain in force all licenses, permits and authorizations required in connection with Lessee's use of the Modified Station hereunder, and shall file and prosecute all necessary applications for license renewal. Lessor shall also file such reasonable protests or other petitions to deny against applications of third parties for licenses as may be requested by Lessee. Lessor, if requested by Lessee, and to the extent requested, shall use his best efforts to prevent any unauthorized individual or entity from receiving the signals transmitted over the Modified Station, provided that all costs and expenses in connection therewith are paid by Lessee. Lessor shall promptly notify Lessee of any event which may affect the licenses, permits, or authorizations for the Modified Station. Lessor shall fully cooperate with all reasonable requests of Lessee for assistance in the construction, operation and maintenance of any additional facilities which Lessee may desire in order to optimize its business within the city metropolitan area, provided that Lessee shall reimburse Lessor for all reasonable expenses incurred by Lessor in providing such assistance.
Further Efforts. (a) Envision and Acquisition Co. agree to use diligent efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable laws and regulations to consummate and make effective the Exchange and the other transactions contemplated hereby in accordance with the terms of this Agreement.
