Wexpro and the Company will co operate in providing, in a timely manner when requested, information necessary for the preparation and filing of reports required by appropriate governmental bodies. However, nothing in this section will be construed to deprive either party of any right or election to decline to produce confidential materials or to attach conditions to any confidential disclosure.

For each Mortgage Loan, the Seller has filed or will file, within the time limits required by Applicable Requirements, all required reports including, but not limited to, reports to all governmental agencies having jurisdiction over the Servicing Rights and all reports required to be made by the Internal Revenue Code of 1986, as amended. The Seller will provide to each Borrower before January 31, 2000 or any such earlier date as may be required by the Applicable Requirements, a "year-end statement" for the period ended on the day immediately prior to the Transfer Date, in compliance with the Applicable Requirements. The Seller's "goodbye letter" (the mortgage servicing transfer letter required by the Real Estate Settlement Procedures Act) will prominently state that the Seller will be mailing the year-end statement to the Borrower by such date.

The Fund will timely file such reports pursuant to the 1940 Act as are necessary in order to make generally available to its securityholders as soon as practicable an earnings statement for the purposes of, and to provide the benefits contemplated by, the last paragraph of Section 11(a) of the 1933 Act.
