Facility Records. The Agent shall maintain records relevant to the Facility and shall document the Drawdowns of the Commitment by the Borrower and the payments made by the Borrower to each Bank. Details of the outstanding sums due from the Borrower under this Agreement shall be evidenced by such records, unless the Borrower can present specific evidence of manifest errors in such records. The Borrower further agrees to issue such new negotiable instruments or certificate of claims to the Agent according to the Agent's records if any negotiable instrument or certificate of claims provided by the Borrower to the Agent pursuant to the Agreement is lost, damaged or destroyed, and the Borrower shall at all times unconditionally cooperate with the Agent in the event the Agent is required by laws or regulations to report loss and/or proceed with other relevant formalities due to the loss, damage or destruction of any negotiable instrument or other certificate of claims. In respect of the Agent’s payment to each Bank, so long as the fund is remitted by the Agent to the bank account designated by each Bank in accordance with this Agreement, the Agent shall have no further obligation with respect to such payment.
Facility Records. 11.2.1. Within three (3) business days after receipt of Tenant’s written request, which request shall not be made prior to thirty (30) days after the Execution Date, Landlord shall provide Tenant with electronic access to any facility records Landlord has available that are specific to the Premises relating to mechanical, HVAC, electrical, E-Power and structural loads.
Facility Records. All of the records of the Facilities shall ----------------- be and remain the property of Licensee and Manager shall at all times maintain the confidentiality of all resident records, including, without limitation, all medical records and shall only disclose the same as required by law and/or as authorized by the resident to whom such record relates; provided, however, that Manager's failure to maintain the confidentiality of resident records in accordance with the requirements of this Section VIII(d) shall not relieve Licensee of liability should any such resident records be improperly disclosed in whole or in part.
Facility Records. Copies of all books and records, computer tapes, disks and data relating exclusively to the Facility and the Contributed Assets, (collectively, the "Facility Records"), as listed on Schedule 1.1(i) hereto.

Facility Records. The Company shall on and after the Effective Date establish and maintain a computerized information system (including specialty software for scheduling and tracking preventive maintenance and histories and document all repairs and maintenance performed at the Facilities) for operations and maintenance data, process control, including all information necessary to verify calculations made pursuant to this Agreement. The Company shall promptly provide the County, upon reasonable request, with copies of all operations and maintenance data and other information kept by the Company in its performance of the Contract Services.

The Agent shall maintain records relevant to the Facility, documenting the drawdowns of the Facility Amount by the Borrower and the payments made by the Borrower and Guarantor to each of the Banks. Details of the outstanding sums due from the Borrower under this Agreement shall be as documented in the Agent's records above, unless the Borrower can present specific evidence of manifest errors in such records. Whether the records are compiled by the computer or manually, unless the contents are wrong and must be corrected, the Borrower agrees to acknowledge the entire contents of the records. The Borrower further agrees to issue a new negotiable instrument or certificate of claims to the Agent according to the Agent's records if any negotiable instrument or other certificate of claims provided by the Borrower to the Agent pursuant to the Agreement is lost, damaged or destroyed. The Borrower shall further lend its unconditional support at all times in the event the Agent is required by laws or regulations to report loss and proceed with other relevant formalities due to the loss, damage or destruction of any negotiable instrument or other certificate of claims.

The Borrower/Guarantor further agrees to issue such new negotiable instruments or certificate of claims to the Agent according to the Agent’s records if any negotiable instrument or certificate of claims provided by the Borrower/Guarantor to the Agent pursuant to the Agreement is lost, damaged or destroyed, and the Borrower/Guarantor shall at all times unconditionally cooperate with the Agent in the event the Agent is required by laws or regulations to report loss and/or proceed with other relevant formalities due to the loss, damage or destruction of any negotiable instrument or other certificate of claims, provided that, the Agent shall bear the costs for such formalities if the loss, damage or destruction is attributable to the Agent. In respect of the Agent’s payment to each Bank, so long as the fund is remitted by the Agent to the bank account designated by each Bank in accordance with this Agreement, the Agent shall have no further obligation with respect to such payment.
Facility Records. On the Closing Date, Seller shall leave at the Facility for Purchaser or New Operator all of Seller’s records for the transferred Facility employees and residents.
