Existing Customers. Nothing in this Agreement shall affect any agreements in effect for the supply of gas between the Gas Vendor and customers of the Gas Vendor prior to the Effective Date. As of the Effective Date, a successful Enrol Request STR shall be deemed to have been completed in respect of each such customer.
Existing Customers. ATMI will define, develop and maintain the Product Sales & Marketing Plan for the sale or licensing of Products to ATMI’s existing [*] customers, after reviewing and consulting on such a plan with IM on a mutually agreeable schedule.
Existing Customers. Except for those Existing Customers with whom OCL or its corporate affiliates has a pre-existing relationship as of the Effective Date of this Agreement OCL shall not solicit or contract with Existing Customers for any products or services without MAI's express written consent. Except as expressly prohibited by this provision, OCL shall not be limited in its ability to conduct it business as if it had not entered into this Agreement with MAI. MAI agrees not to unreasonably withhold or delay its consent to requests from OCL to solicit or contract with Existing Customers for the sale of products or services which are not competitive with a product or service sold by MAI. In granting its consent, MAI shall be entitled to place reasonable restrictions on the manner in which OCL interacts with the Existing Customers, for example by precluding the involvement of the OCL employees who provide Equipment Support for that Existing Customer pursuant to this Agreement. In the event MAI withholds its consent to a request by OCL to solicit or contract with an Existing Customer, OCL shall be entitled to terminate this Agreement upon one hundred eighty (180) days prior written notice to MAI without further liability or obligation to MAI. OCL's failure to exercise this right to terminate on one or more occasions when it has the opportunity to do so shall not be deemed to constitute a waiver of such right or any other rights hereunder
Existing Customers. I-Link has the full and complete and sole authority to assign and transfer such Existing Customers and Legacy Customers together with any and all accounts receivable associated therewith and any revenue stream free and clear of any Encumbrance.

The following provisions apply to Existing Customers: if an Existing Customer has not entered into a Customer Access Agreement with the Authority by the Commencement Date, then the Parties acknowledge and agree that (unless the Authority in its discretion notifies the Supplier to the contrary) the Supplier shall nevertheless enter into a Customer Contract with such Existing Customer; if an Existing Customer has not entered into a Customer Access Agreement with the Authority by the Earliest Supply Start Date for any Supply Point of that Existing Customer, then the Parties acknowledge and agree that (unless the Authority in its discretion notifies the Supplier that such Existing Customer is no longer to qualify as a Customer hereunder) the Supplier shall nevertheless supply natural gas to such Existing Customer in accordance with the Customer Contract; (if the Supplier was the Previous Gas Supplier for that Existing Customer) where directed by the Authority and where the Existing Customer is willing to do so, the Supplier shall (rather than entering into a Customer Contract with the Supplier on the terms and conditions prescribed in Schedule 2) enter into an agreement to amend the Existing Customer’s contract with the Supplier so as to create an agreement between the Existing Customer and the Supplier on the terms and conditions prescribed in Schedule 2; and (if the Supplier was not the Previous Gas Supplier for that Existing Customer) where directed by the Authority and where the Existing Customer is willing to do so, the Supplier shall (rather than entering into a Customer Contract with the Supplier on the terms and conditions prescribed in Schedule 2) enter into an agreement to novate and amend the Existing Customer’s contract with the Previous Gas Supplier so as to create an agreement between the Existing Customer and the Supplier on the terms and conditions prescribed in Schedule 2. The Parties further acknowledge and agree in respect of Existing Customers that: until such time as an Existing Customer has a Customer Contract with the Supplier (whether pursuant to Clause 3.3.1, 3.10.3 or 3.10.4), that Existing Customer cannot join a Procurement Round (or become a Committed Customer in respect of that Procurement Round); (notwithstanding Clause 3.11.2, and unless the Authority otherwise determines) an Existing Customer that does not have a Customer Contract with the Supplier (whether pursuant to Clause 3.3.1, 3.10.3 or 3.10.4) by the Procurement Round Com...
