Exercise Dates. Tenant must give Landlord notice in writing --------------- of its exercise of the option in question no earlier than one hundred eighty (180) days before the date the Lease Term would end but for said exercise (the "Earliest Exercise Date") and no later than one hundred twenty (120) days before the date the Lease Term would end but for said exercise (the "Last Exercise Date"). Exercise Dates. Subject to the terms and conditions herein and in the Plan, the Option shall become exercisable, on each of the dates and to the extent provided on each date as provided in Paragraph 2 above. Fractional shares may not be purchased or delivered hereunder. Once exercisable and until terminated, all or any portion of the Option may be exercised from time to time and at any time under procedures that the Company shall establish from time to time, including, without limitation, procedures regarding the frequency of exercise and the minimum number of option shares which may be purchased at any time.
Exercise Dates. For purposes of Paragraph 5 of this Addendum, the Last Exercise Date is twelve (12) months prior to the date that the Option Period would commence.
Exercise Dates. Exercise Dates. The Optionee shall be entitled to exercise the Option only to the extent the Option becomes exercisable under the terms and conditions of the vesting schedule attached hereto as Exhibit C. To the extent that the Option becomes exercisable with respect to any Shares, as provided on Exhibit C, the Option may thereafter be exercised by the Optionee either with respect to all or any number of such Shares at any time or from time to time prior to the expiration of the Option. Except as provided in Sections 5 and 6 hereof, the Option may not be exercised at any time unless the Optionee shall be an employee or director of the Company or one of its Affiliates (an “Eligible Participant”) at such time.

Valid exercise by Tenant shall be conditioned on Tenant validly exercising its option as to the 000 Xxxx Xxxxx Avenue Premises as well as the 000 Xxxx Xxxxx Premises, and Tenant is not entitled to exercise an option for one of the Leases and not the other.
